Pari Passu Collateral Documents definition

Pari Passu Collateral Documents means this Agreement and any other document or instrument executed and delivered at any time pursuant to any Pari Passu Indebtedness Document or otherwise, pursuant to which a Lien is granted by an Obligor to secure any Pari Passu Obligations or under which rights or remedies with respect to any such Lien are governed, as the same may be amended, modified, supplemented, extended, renewed, or restated from time to time.
Pari Passu Collateral Documents means the Pari Passu Security Agreement, the Pari Passu Collateral Agency Agreement, the Pari Passu Mortgage, the Pari Passu Collateral Agency Agreement Joinder and all other security agreements, intellectual property security agreements, control agreements, pledge agreements, deeds of trust, mortgages and security documents now or hereafter delivered to Pari Passu Collateral Agent or First Priority Collateral Agent granting a Lien on any property (or associated with such a grant) of any Person to secure the Obligations or the Guaranteed Obligations, as the same may be amended, restated, supplemented or otherwise modified from time to time in accordance with the terms of this Agreement.

  • After the Discharge of the Term Loan Obligations, if the Pari Passu Collateral Agent at any time receives written notice that any event has occurred that constitutes a default under any ABL Loan Document entitling the Pari Passu Collateral Agent to take an Enforcement Action with respect to the Term Loan Priority Collateral under the Pari Passu Collateral Documents, the Pari Passu Collateral Agent will promptly deliver written notice thereto to each ABL Agent.

  • The Pari Passu Collateral Agent will not otherwise be bound by, or be held obligated by, the provisions of any credit agreement, indenture, or other agreement governing ABL Debt (other than this Agreement and the other Pari Passu Collateral Documents to which it is party).

Pari Passu Collateral Documents means Pari Passu Collateral Documents (as defined in the Pari Passu Intercreditor Agreement).
Pari Passu Collateral Documents means the Security Agreements, the Mortgages, the Deposit Account Agreements, the Consents to Assignment, the Consents and Waivers and all accounts pledge agreements, financing statements, assignments and other documents executed or delivered from time to time in connection therewith or otherwise to secure the Company's or any other Company Party's Pari Passu Obligations under the Pari Passu Financing Documents, in each case as amended from time to time.

  • Senior Collateral Documents means the Security Agreement and the other “Security Documents” as defined in the Credit Agreement, the Pari Intercreditor Agreement (upon and after the initial execution and delivery thereof by the initial parties thereto) and each of the collateral agreements, security agreements and other instruments and documents executed and delivered by the Borrower or any other Grantor for purposes of providing collateral security for any Senior Obligation.

  • Second Priority Collateral Documents means the Noteholder Collateral Documents and any other agreement, document or instrument pursuant to which a Lien is now or hereafter granted securing any Second Priority Claims or under which rights or remedies with respect to such Liens are at any time governed.

  • Second Priority Debt Documents means the Initial Second Priority Debt Documents and, with respect to any series, issue or class of Second Priority Debt, the promissory notes, indentures, Collateral Documents or other operative agreements evidencing or governing such Indebtedness, including the Second Priority Collateral Documents.

  • Notes Priority Collateral has the meaning set forth in the Intercreditor Agreement.

  • First Lien Security Documents means the Security Documents (as defined in the First Lien Credit Agreement) and any other agreement, document or instrument pursuant to which a Lien is granted or purported to be granted securing any First Lien Obligations or under which rights or remedies with respect to such Liens are governed.

  • Senior Security Documents means with respect to any Senior Secured Party, the Security Documents that secure the Senior Obligations.

  • Equal Priority Intercreditor Agreement means the Equal Priority Intercreditor Agreement substantially in the form of Exhibit G-1 among (x) the Collateral Agent and (y) one or more representatives of the holders of one or more classes of Permitted Additional Debt and/or Permitted Equal Priority Refinancing Debt, with any immaterial changes and material changes thereto in light of the prevailing market conditions, which material changes shall be posted to the Lenders not less than five Business Days before execution thereof and, if the Required Lenders shall not have objected to such changes within five Business Days after posting, then the Required Lenders shall be deemed to have agreed that the Administrative Agent’s and/or Collateral Agent’s entry into such intercreditor agreement (with such changes) is reasonable and to have consented to such intercreditor agreement (with such changes) and to the Administrative Agent’s and/or Collateral Agent’s execution thereof.

  • Permitted Pari Passu Secured Refinancing Debt means any secured Indebtedness issued or incurred by the Borrower or a Subsidiary Guarantor in the form of one or more series of senior secured notes or loans; provided that (i) such Indebtedness is secured by the Collateral on a pari passu basis (but without regard to the control of remedies) with the Obligations and is not secured by any property or assets of the Borrower or any Subsidiary other than the Collateral, (ii) such Indebtedness constitutes Credit Agreement Refinancing Indebtedness, (iii) such Indebtedness does not mature or have scheduled amortization or scheduled payments of principal and is not subject to mandatory redemption, repurchase, prepayment or sinking fund obligation (other than customary offers to repurchase or mandatory prepayments upon a change of control, asset sale or other Disposition, casualty event or incurrence of indebtedness that is not permitted thereunder and customary acceleration rights after an event of default) prior to the Latest Maturity Date determined at the time such Indebtedness is incurred, (iv) the security agreements relating to such Indebtedness are substantially the same as the Collateral Documents (with such differences as are reasonably satisfactory to the Administrative Agent), (v) such Indebtedness is not guaranteed by any Subsidiaries other than the Subsidiary Guarantors and (vi) a Senior Representative acting on behalf of the holders of such Indebtedness shall have become party to or otherwise subject to the provisions of the Pari Passu Intercreditor Agreement; provided that if such Indebtedness is the initial Permitted Pari Passu Secured Refinancing Debt incurred by the Borrower or a Subsidiary Guarantor, then the Borrower, Holdings, the Subsidiary Guarantors, the Administrative Agent and the Senior Representative for such Indebtedness shall have executed and delivered a Pari Passu Intercreditor Agreement. Permitted Pari Passu Secured Refinancing Debt will include any Registered Equivalent Notes issued in exchange therefor.

  • UK Security Documents means the UK Pledge Agreements and the UK Debenture.
