Partnership Reports means all forms, reports and documents filed by the Partnership with the SEC between January 1, 2002 and the Closing Date, in each case under Section 13 of the Exchange Act and the rules and regulations promulgated thereunder;

Examples of Partnership Reports in a sentence

  • The representation in the preceding sentence does not apply to (a) any misstatement or omission in (i) any Partnership Report filed prior to the date of this Agreement that was superseded by a subsequent Partnership Report filed prior to the date of this Agreement or (ii) any Partnership Report filed after the date of this Agreement that is superseded by a subsequent Partnership Report filed prior to the Closing Date or (b) any financial forecasts or projections included in the Partnership Reports.

  • Partnership Record Date means the record date established by the General Partner for a distribution pursuant to Section 5.1(a) hereof, which record date shall be the same as the record date established by the General Partner for a distribution to its stockholders of some or all of its portion of such distribution.

  • Engineering Reports has the meaning assigned such term in Section 2.07(c)(i).

  • Progress Reports The Progress Reports as required by the individual Task Work Orders issued pursuant to this Agreement. Responsible: Responsible or Responsibility means the financial ability, legal capacity, integrity and past performance of Contractor and as such terms have been interpreted relative to public procurements. See NYS Finance Law § 163(1)(c).

  • Subscriber Reports means the monthly Subscriber reports to be provided by Affiliate to the Authorized Representative in terms of Clause 11 of this Agreement.

  • Founded Reports means the Department's Children, Adults, and Families Division or Law Enforcement Authority (LEA) determination, based on the evidence, that there is reasonable cause to believe that conduct in violation of the child abuse statutes or rules has occurred and such conduct is attributable to the person alleged to have engaged in the conduct.

  • BBA Partnership Audit Rules means Sections 6221 through 6241 of the Code, and any regulations promulgated or proposed under any such Sections and any administrative guidance with respect thereto.

  • Limited Partnership Agreement means the Second Amended and Restated Agreement of Limited Partnership of the Partnership dated as of March 9, 2004, as amended from time to time.

  • Borrower Partnership Agreement means the Limited Partnership Agreement of the Borrower dated as of January 17, 2014 as such agreement may be amended, restated, modified or supplemented from time to time with the consent of the Administrative Agent or as permitted under Section 10.10.
