Penalty Date definition

Penalty Date collectively the "Penalty Dates"), a penalty of two percent (2%) per month, of the Face Amount of the Debenture, shall accrue for each month the Filing Date and/or the Effective Date exceeds the Penalty Date, pro-rated for partial periods.
