Pending Claim Amount definition

Pending Claim Amount has the meaning set forth in Section 2.5(b)(ii).
Pending Claim Amount means that portion of the Cash Escrow Deposit and/or that number of the Escrow Shares equal to the disputed amount in any pending Claim Notice based on the Share Value.

More Definitions of Pending Claim Amount

Pending Claim Amount means any Indemnification Claim and the amount thereof asserted by a H&E Indemnified Party, in good faith, against Burress Shareholders pursuant to the provisions of Article X of the Agreement and Plan of Merger or under the Transaction Documents, even though such Indemnification Claim, or any third-party claim which serves as the basis for any Indemnification Claim, has not yet been finally determined, unless and until such Pending Claim Amount is paid to H&E Indemnified Parties or such Pending Claim or Pending Claim Amount is the subject of a Determination in Favor of Burress Shareholders.
