Notwithstanding the foregoing, if, on the Final Escrow Release Date, there are any pending claims by a Parent Indemnified Party for Losses that are contested or not resolved, the Escrow Agent shall continue to hold that portion of the Escrow Amount equal to the amount of such pending claim on that date (the "Pending Claim Amount") in escrow for the benefit of the Parent Indemnified Parties.
