Per Option Amount definition

Per Option Amount means, with respect to any amount as it relates to a Company Option, the product of (i) the number of shares of Company Common Stock issuable upon exercise of such Company Option, and (ii) the Per Share Amount.

Per Option Amount means an amount equal to the quotient of (A) the sum of the Aggregate Cash Consideration plus the Aggregate Buyer Stock Value plus the aggregate exercise price that would be paid to exercise all unexercised and unexpired Target Options immediately prior to the Effective Time divided by (B) the number of Diluted Target Shares, rounded to the nearest cent.

Per Option Amount has the meaning set forth in Section 3.1.
