Per Option Consideration definition

Per Option Consideration has the meaning set forth in Section 1.2(a).
Per Option Consideration has the meaning set forth in Section 4.6(a).
Per Option Consideration means an amount in cash with respect to each Company Share underlying a Vested Company Option or a Vested Promised Option, as the case may be, equal to the excess, if any, of the Per Share Consideration over the applicable per share exercise price of such Vested Company Option or such Vested Promised Option Price, as the case may be.

  • Until so surrendered and cancelled, each Option Agreement shall represent solely the right to receive per Option represented by such Option Agreement (and exercisable as of the Effective Time), the Per Option Consideration.

  • In the event a holder of an Unvested Options terminates its service with the Company prior to the 1st anniversary of the Completion Date involuntary on a Good Leaver basis or voluntary for Good Reason, the Purchaser will procure that the Company shall pay to such holder of an Unvested Option the Per Option Consideration at such time his or her service is terminated.

More Definitions of Per Option Consideration

Per Option Consideration means the sum of (i) the Initial Price Per Option, plus (ii) the Per Security Post-Closing Purchase Price Payment, if any, plus (iii) the Total Escrow Payments Per Security.
Per Option Consideration means an amount in cash, without interest, equal to (x) the excess of the Per Share Consideration in respect of Company Common Stock over the per share exercise price of such Vested Company Option, multiplied by (y) the aggregate number of shares of Company Common Stock subject to such Vested Company Option.
