Permitted Extension definition

Permitted Extension means an extension of a Scheduled Contract Payment in the ordinary course of business for reasons unrelated to an Obligor's creditworthiness for a period not to exceed 2 months.

Permitted Extension means an extension, an amendment or a replacement (whether effected through entry into new agreements and instruments or amendment of existing agreements and instruments, and whether with the same or different lenders) of the Interim Credit Agreement through a date not later than November 1, 2006, so long as (i) the aggregate availability thereunder does not exceed $3.0 billion, (ii) the terms thereof (other than the interest rates and other fees applicable thereunder) shall be substantially similar to those of the Interim Credit Agreement, (iii) the loans outstanding thereunder may be prepaid without premium or penalty, other than customary “breakage” fees associated with the prepayment of short-term loans on which interest accrues at rates based on the rates quoted in inter-bank markets and (iv) the facility is unsecured;

Permitted Extension shall have the meaning set forth in Section 5.6.

Examples of Permitted Extension in a sentence

• As such, Seller shall have demonstrated Commercial Operation per the terms of Appendix IV-2 by the date that is no later than twenty-four (24) months after the Effective Date of this Agreement, except as such date may be extended on a day for day basis for not more than a cumulative six (6) month period for a Permitted Extension (the “Guaranteed Commercial Operation Date”).

• As such, Seller shall have demonstrated Commercial Operation per the terms of Appendix IV-2 by the date that is no later than thirty-six (36) months after the Effective Date of this Agreement, except as such date may be extended on a day for day basis for not more than a cumulative six (6) month period for a Permitted Extension (the “Guaranteed Commercial Operation Date”).

• As such, Seller shall have demonstrated Commercial Operation per the terms of Appendix IV-2 by the date that is no later than June 30, 2024, except as such date may be extended on a day for day basis for not more than a cumulative six (6) month period for a Permitted Extension (the “Guaranteed Commercial Operation Date”).

• As such, for New Projects, Seller shall have demonstrated Commercial Operation per the terms of Appendix IV-2 by the date that is no later than thirty-six (36) months after the Effective Date of this Agreement, except as such date may be extended on a day for day basis for not more than a cumulative six (6) month period for a Permitted Extension (the “Guaranteed Commercial Operation Date”).

• In addition, Holdings and its Subsidiaries shall not amend or modify any Permitted Extension Indebtedness or Other Permitted Indebtedness if such amendment or modification would have resulted in such Indebtedness not constituting Permitted Extension Indebtedness or Other Permitted Indebtedness when incurred had such amendment or modification been effective at such time.

• On the date of receipt by Company of the cash proceeds (net of underwriting discounts and commissions and other reasonable costs associated therewith) from the issuance of Permitted Extension Indebtedness with respect to a Financed Aircraft, Company shall prepay, without premium or penalty (other than pursuant to subsection 2.6D), the Loans in an amount equal to such net cash proceeds.

• NewPageCo may, by written notice to the Administrative Agent, make an offer (each, an “Extension Offer”) to all Lenders in connection with one or more Permitted Extension Amendments pursuant to procedures specified by the Administrative Agent and reasonably acceptable to NewPageCo. Such notice shall be reasonably satisfactory to the Administrative Agent and shall set forth the terms and conditions of the requested Permitted Extension Amendment.

• Sections 2.8 and 2.9 - Commercial Operation Date and Extension Some parties request a longer time period before the COD83 (24 months) is triggered and a longer time period under the Notice of Permitted Extension84 (six months).85 Other parties suggest a shorter time period for both the COD and Notice of Permitted Extension.

• Permitted Extension Amendments shall become effective only with respect to the Loans and Revolving Commitments of the Lenders that accept the applicable Extension Offer (such Lenders, the “Accepting Lenders”).

More Definitions of Permitted Extension

Permitted Extension shall have the meaning set forth in Section 8.01.

Permitted Extension means an extension, an amendment or a replacement (whether effected through entry into new agreements and instruments or amendment of existing agreements and instruments, and whether with the same or different lenders) of the Interim Credit Agreement through a date not later than November 1, 2006, so long as (i) the aggregate availability thereunder does not exceed $3.0 billion, (ii) the terms thereof (other than the interest rates and other fees applicable thereunder) shall be substantially similar to those of the Interim Credit Agreement, (iii) the loans outstanding thereunder may be prepaid without premium or penalty, other than customary “breakage” fees associated with the prepayment of short-term loans on which interest accrues at rates based on the rates quoted in inter-bank markets and (iv) the facility is unsecured; (xii) the Company shall not make any change to its methods of accounting, as applied to its consolidated and consolidating financial statements, in effect at June 30, 2005, except (A) as required by changes in GAAP (or any interpretation thereof) or Regulation S-X of the Exchange Act, (B) as may be required by a change in applicable Law or required by a Governmental Authority or quasi-Governmental Authority (including the Financial Accounting Standards Board (“FASB”) or any similar organization), or (C) as disclosed in the Prior SEC Filings; or (xiii) there shall be no Tax election, change in any Tax election or change or adoption of any method of Tax accounting that could be reasonably expected to have a material adverse effect on the Group or Buyer; (xiv) Holdings shall use all reasonable efforts subject to the proviso below to maintain in full force and effect substantially the same level of insurance coverage for the Group’s respective businesses, operations, personnel and other risks as the insurance provided under the policies in force on the date hereof, including any coverage under policies of Ford and its Affiliates; provided, however, that nothing herein shall prohibit Ford or its Affiliates (other than members of the Group) from replacing, amending, cancelling or otherwise changing any insurance policies made available to members of the Group so long as the Company is not disproportionately and adversely affected relative to Ford’s other Affiliates; 25

Permitted Extension means, with respect any given Milestone or the Guaranteed Commercial Operation Date, a day-for-day extension to such Milestone or Guaranteed Commercial Operation Date due to Seller’s inability, as a result of events beyond Seller’s reasonable control, to either (i) interconnect the Gen-Tie Line with the Colstrip Transmission System or (ii) obtain any permit,

Permitted Extension as defined in Section 2.24(a).
