Permitted Name definition

Permitted Name. The name of the Group as set out on page 1 of this Membership Agreement.
Permitted Name means the trade name Oceanside Bank used by Tenant in its operation of the Premises.

  • Notwithstanding anything to the contrary in this ARTICLE 27, in the event Tenant changes its name from the Permitted Name or its logo from the Permitted Logo, Tenant shall be entitled to modify the Signage to conform to that new name and new logo upon 30 days notice to Landlord, but not subject to any consent or approval right of Landlord and Tenant will submit a set of Signage plans to Landlord for use as the new EXHIBIT D under this Lease.

  • Tenant shall use the Demised Premises solely for the Permitted Use and under the Permitted Name as set forth in Section 1 hereof, or that of Tenant’s assignee or subtenant, if any, after approval pursuant to Section 24 herein.

  • Article XIII of the Basic Lease Information is amended to provide the entire Premises shall be used by Lessee under the Permitted Name as general office space consistent with Lessee’s business operations and other purposes incident and ancillary thereto and for no other purpose whatsoever.

  • During the Term of the Lease, the Premises shall be continuously operated, used and occupied only for the Permitted Use and for no other purpose and operated under the Permitted Name and no other tradename.

  • If at any time Tenant shall elect to use a Permitted Name instead of “Capella Tower”, all references on Exhibit R and Exhibit S shall be adjusted to reflect the Permitted Name (but Tenant shall be responsible for all reasonable third-party costs incurred by Landlord in changing any signage from “Capella Tower” to reflect the Permitted Name).

  • permitted client means any of the following:

  • Permitted Installation means the activities and the limits to those activities described in Table 1.1.1 of this Permit.

  • Permitted Licenses are (A) licenses of over-the-counter software that is commercially available to the public, and (B) non-exclusive and exclusive licenses for the use of the Intellectual Property of Borrower or any of its Subsidiaries entered into in the ordinary course of business, provided, that, with respect to each such license described in clause (B), (i) no Event of Default has occurred or is continuing at the time of such license; (ii) the license constitutes an arms-length transaction, the terms of which, on their face, do not provide for a sale or assignment of any Intellectual Property and do not restrict the ability of Borrower or any of its Subsidiaries, as applicable, to pledge, grant a security interest in or lien on, or assign or otherwise Transfer any Intellectual Property; (iii) in the case of any exclusive license, (x) Borrower delivers ten (10) days’ prior written notice and a brief summary of the terms of the proposed license to Collateral Agent and the Lenders and delivers to Collateral Agent and the Lenders copies of the final executed licensing documents in connection with the exclusive license promptly upon consummation thereof, and (y) any such license could not result in a legal transfer of title of the licensed property but may be exclusive in respects other than territory and may be exclusive as to territory only as to discrete geographical areas outside of the United States; and (iv) all upfront payments, royalties, milestone payments or other proceeds arising from the licensing agreement that are payable to Borrower or any of its Subsidiaries are paid to a Deposit Account that is governed by a Control Agreement.

  • Specially Written Software means any software created by the Contractor (or by a third party on behalf of the Contractor) specifically for the purposes of this Contract.

  • Permitted Country means any country listed on Schedule 4 to the Participation Agreement.

  • Permitted Facility means a facility authorized by the general permit to discharge total nitrogen or

  • General purpose radiographic x-ray system means any radiographic x-ray system which, by design, is not limited to radiographic examination of specific anatomical regions.

  • Other Permitted Indebtedness means (a) accrued expenses and current trade accounts payable incurred in the ordinary course of the Borrower’s business which are not overdue for a period of more than 90 days or which are being contested in good faith by appropriate proceedings, (b) Indebtedness (other than Indebtedness for borrowed money) arising in connection with transactions in the ordinary course of the Borrower’s business in connection with its securities transactions, derivatives transactions, reverse repurchase agreements or dollar rolls to the extent such transactions are permitted under the Investment Company Act and the Borrower’s Investment Policies (after giving effect to any Permitted Policy Amendments), provided that such Indebtedness does not arise in connection with the purchase of Portfolio Investments other than Cash Equivalents and U.S. Government Securities and (c) Indebtedness in respect of judgments or awards that have been in force for less than the applicable period for taking an appeal so long as such judgments or awards do not constitute an Event of Default under clause (l) of Article VII.

  • Trusted Network means a network operated and maintained by the Contractor, which includes security controls sufficient to protect DSHS Data on that network. Controls would include a firewall between any other networks, access control lists on networking devices such as routers and switches, and other such mechanisms which protect the confidentiality, integrity, and availability of the Data.

  • Permitted Receivables Related Assets means any other assets that are customarily transferred or in respect of which security interests are customarily granted in connection with asset securitization transactions involving receivables similar to Receivables and any collections or proceeds of any of the foregoing.

  • Permitted Entity means with respect to a Qualified Stockholder (a) a Permitted Trust (as defined below) solely for the benefit of (i) such Qualified Stockholder, (ii) one or more Family Members of such Qualified Stockholder and/or (iii) any other Permitted Entity of such Qualified Stockholder, or (b) any general partnership, limited partnership, limited liability company, corporation or other entity exclusively owned by (i) such Qualified Stockholder, (ii) one or more Family Members of such Qualified Stockholder and/or (iii) any other Permitted Entity of such Qualified Stockholder.

  • Embargoed Property means any property (a) beneficially owned, directly or indirectly, by a Sanctioned Person; (b) that is due to or from a Sanctioned Person; (c) in which a Sanctioned Person otherwise holds any interest; (d) that is located in a Sanctioned Jurisdiction; or (e) that otherwise would cause any actual or possible violation by the Lenders or Agent of any applicable Anti-Terrorism Law if the Lenders were to obtain an encumbrance on, lien on, pledge of, or security interest in such property or provide services in consideration of such property.

  • Permitted Purpose means any activity or process to be undertaken or supervised by a Staff member of one Party during the term of this Agreement, for which purpose authorised disclosure of the other Party’s Confidential Information or Intellectual Property is a prerequisite in order to enable such activity or process to be accomplished;
