Permitted Par Prepayment definition

Permitted Par Prepayment shall have the meaning assigned to such term in Section 2.05(a).
Permitted Par Prepayment means an optional prepayment, made on a one-time basis, of the outstanding principal of the Loans solely from the net cash proceeds of a public or private issuance of the Equity Interests (in the form of (a) common equity or (b) other equity form, which form shall be on terms reasonably satisfactory to the GSO Entities) of the Borrower, issued substantially concurrently with such prepayment, in an amount not to exceed $50,000,000 in the aggregate.

  • Any such Permitted Par Prepayment shall not require the payment of any Prepayment Premium but such prepayment shall otherwise be subject to the other applicable requirements of this Section 2.05.

  • Reinvestment Prepayment Date with respect to any Reinvestment Event, the earlier of (a) the date occurring twelve months after such Reinvestment Event and (b) the date on which the Borrower shall have determined not to, or shall have otherwise ceased to, acquire or repair assets useful in the Borrower’s business with all or any portion of the relevant Reinvestment Deferred Amount.
