Permitted Use Account. The account established pursuant to Section 10.3(e).
Permitted Use Account means the account established pursuant to Section 10.1(b) and described in Section 10.3(i).
Permitted Use Account. The account established pursuant to Section 10.3(e). “Person”: An individual, corporation (including a business trust), partnership, limited liability company, joint venture, association, joint stock company, statutory trust, trust (including any beneficiary thereof), unincorporated association or government or any agency or political subdivision thereof. “Placement Agent”: SMBC Nikko Securities America, Inc., in its capacity as placement agent for the Secured Notes under the Placement Agreement. “Placement Agreement”: The placement agreement, dated as of December 7, 2023, between the Issuer, the Placement Agent and the Co-Placement Agent, as amended from time to time in accordance with the terms thereof. “Portfolio Company”: Any company that is controlled by the Collateral Manager, an Affiliate thereof, or an account, fund, client or portfolio established and controlled by the Collateral Manager or an Affiliate thereof. “Posting Agent Letter Agreement”: The EU/UK RR Website Direction Letter Agreement, dated as of November 2, 2023, among Xxxxxx Xxxxxxxxx BDC SPV II, LLC, the Collateral Manager and U.S. Bank Trust Company, National Association, as posting agent. “Post-Reinvestment Period Settlement Obligation”: The meaning specified in Section 12.2(a). “Primary Business Activity”: In relation to a consolidated group of companies, for the purposes of determining whether a debt obligation or debt security is an ESG Collateral Obligation, where such group derives more than 40% of its revenues from the relevant business, trade or production (as applicable) at the time of purchase of the ESG Collateral Obligation, as determined by the Collateral Manager. “Principal Balance”: Subject to Section 1.3, with respect to (a) any Asset other than a Revolving Collateral Obligation or Delayed Drawdown Collateral Obligation, as of any date of determination, the outstanding principal amount of such Asset (excluding any capitalized interest) and (b) any Revolving Collateral Obligation or Delayed Drawdown Collateral Obligation, as of any date of determination, the outstanding principal amount of such Revolving Collateral Obligation or Delayed Drawdown Collateral Obligation (excluding any capitalized interest), plus (except as expressly set forth herein) any undrawn commitments that have not been irrevocably reduced or withdrawn with respect to such Revolving Collateral Obligation or Delayed Drawdown Collateral Obligation; provided that for all purposes the Principal Balance o...

Examples of Permitted Use Account in a sentence

  • Once the Asset Manager has designated funds in the Permitted Use Account as Principal Proceeds, such funds may not be subsequently reclassified as Interest Proceeds.
