Phase 2 Facility definition

Phase 2 Facility has the meaning given to the term “Facility” in the CfD (Phase 2) Agreement;

Phase 2 Facility means the facilities existing or contemplated for the Phase 2 Project, including the LNG receiving, storage and regasification facilities. The Phase 2 Tanks compose a portion of the Phase 2 Facility.

Phase 2 Facility means the Facility described in Section 2.2(b).

Examples of Phase 2 Facility in a sentence

• Roquette shall use its commercially reasonable efforts to have production commence in the Phase 2 Facility within eighteen (18) to twenty-four (24) months after the Effective Date (which is expressly acknowledged by the Parties as a target date, not an enforceable deadline).

• The Discharger shall have completed construction and startup of the Phase 1 and Phase 2 Facility improvements, as identified in section II.E of the Fact Sheet in this Order.

• It involves the consideration of all sources of flooding and embedding flood risk management in national and local policies.

• Upon the commencement of manufacturing operations in the Phase 2 Facility, Roquette shall notify the Board in writing of such commencement, at which time Phase 1 shall be deemed terminated and completed.

• The purchase price of the Phase 2 Facility pursuant to the Facility Purchase Option (the “Facility Purchase Price”) shall be as calculated pursuant to Exhibit G.

• The future Phase 2 Facility evaluation is included in the current ER submittal because of plans to add a Phase 2 expansion within approximately 3- 4 years of the Phase 1Facility operation.

• Roquette shall initiate its efforts to plan and build out the Phase 2 Facility immediately after the Effective Date, which initial efforts shall be comprised of pre-industrial engineering studies and permitting processes, and other such long lead-time activities as reasonably determined by Roquette (in conjunction with discussions with the Company).

• The RA Work Plan for Phase 2 Facility Construction shall state the year of Phase 2 in which such Phase 2 facility(ies) shall begin to be used, and include a schedule for construction of such facility(ies).

• The Phase 2 Facility shall be funded, built and owned by Roquette, and shall be used to manufacture Products for the Company on a Cost Plus basis, pursuant to the terms of the Manufacturing Agreement; provided, however, that the basis for Roquette’s calculation of Cost Plus shall be fully auditable by the Company on an annual basis on customary audit terms.

• The Discharger has requested to be permitted to discharge up to 4.5 MGD average dry weather flow year round to Skunk Creek upon completion of the Phase 1 and Phase 2 Facility upgrades.
