The term of this Agreement will be from the Effective Date until the earlier of (i) termination in accordance with the terms and conditions contained herein, and (ii) Final Completion of Phase 2.
At the Phase 1 Closing (and the Phase 2 Closing, as applicable), City shall convey to Developer fee simple title to the Phase 1 Residential Site (and the Phase 2 Residential Site) and a leasehold interest in the Leased Site, “AS IS, WHERE IS, WITH ALL FAULTS” and subject to the Permitted Exceptions.
If an Event of Default by Developer with respect to its Phase 2 obligations occurs prior to the Phase 2 Closing, City shall have, as its sole and exclusive remedy, the right to terminate Developer’s rights with respect to the Phase 2 development.
