Phase 2 Reference definition

Phase 2 Reference means a reference pursuant to Part 3 EA02, or pursuant to Article 5 of the Enterprise Xxx 0000 (Protection of Legitimate Interests) Order 2003, in each case to the chair of the CMA for the constitution of a group under Schedule 4 to the Enterprise and Regulatory Reform Xxx 0000;
Phase 2 Reference means a reference of the Transaction (or any part thereof) by the CMA for in-depth investigation under section 33(1) of the UK Enterprise Act 2002 (or such similar legislative provisions as may apply from time to time).
Phase 2 Reference has the meaning given to it in Clause 4.1;
