Upon the earlier of exercise of the Phase III Option or the expiration of this Agreement without the University having exercised the Phase III Option, the University shall pay to City Investors a true-up option payment in the amount of $2,413,000 (the “True-up Option Payment”).
If the University or its permitted designee exercises the Phase III Option within the Phase III Option Term, City Investors and the University or its permitted designee shall negotiate in good faith and with reasonable diligence to finalize definitive documents for the development of the Phase III Property, based on substantially the following terms and conditions: 7.1 Phase III Ground Lease.
