  • All Piggyback Eligible Holders requesting to be included in the Piggyback Registration must sell their Registrable Securities to the underwriters selected as provided in Section 7(b)(iv) on the same terms and conditions as apply to the Corporation if such underwritten offering is consummated.

  • Subject to Section 7(b)(ii), the Corporation shall use its commercially reasonable efforts to include in each such Piggyback Registration such Registrable Securities for which the Corporation has received written requests (each, a “Piggyback Request”) from Piggyback Eligible Holders within five (5) Business Days after giving the Piggyback Notice.

  • Piggyback Registration shall have the meaning given in subsection 2.2.1.

  • Piggyback Request has the meaning set forth in Section 2(c)(i).

  • Initiating Holders means, collectively, Holders who properly initiate a registration request under this Agreement.

  • Takedown Requesting Holder shall have the meaning given in subsection 2.3.3.

  • Included Registrable Securities has the meaning specified therefor in Section 2.02(a) of this Agreement.

  • Underwritten Offering Notice has the meaning set forth in Section 2(b).

  • Demand Registration shall have the meaning given in subsection 2.1.1.

  • Registrable Shares means (i) the Common Stock issuable or issued upon conversion pursuant to Section 2.5 of this Agreement, and (ii) any Common Stock or other securities issued or issuable in respect of shares referenced in (i) above, upon any stock split, stock dividend, recapitalization, or similar event; excluding in all cases, however, any Registrable Securities sold by a Person in a transaction in which such Person's rights under this Section 10 are not assigned.

  • Shelf Takedown means an Underwritten Shelf Takedown or any proposed transfer or sale using a Registration Statement, including a Piggyback Registration.

  • Requesting Holders shall have the meaning given in Section 2.1.5.

  • Registrable Securities means all of the Shares and the Warrant Shares, together with any shares of Common Stock issued or issuable upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing.

  • Other Holders means holders of securities of the Company (other than Purchasers) who are entitled, by contract with the Company, to have securities included in a Registration Statement.
