PMI Shares definition

PMI Shares means the common shares without par value in the authorized share capital of PMI and, where applicable, any corresponding CHESS depositary instruments representing PMI Shares;

Examples of PMI Shares in a sentence

  • All securities of PMI (including the PMI Shares, the PMI Options and the PMI Warrants) have been issued in compliance with all applicable Laws and Securities Laws.

  • There are no outstanding bonds, debentures or other evidences of indebtedness of PMI having the right to vote with the holders of the outstanding PMI Shares on any matters.

  • The PMI Shares are listed and posted for trading on the ASX, TSX and the FSE.

  • The number of issued and outstanding PMI Shares, PMI Options, PMI Warrants and PMI Performance Rights as at the date hereof is set forth in the PMI Disclosure Letter.

  • The only votes of the holders of any class or series of the PMI Shares, PMI Options, PMI Warrants or other securities of PMI necessary to approve this Agreement and the Arrangement and the transactions contemplated hereof or thereby is, subject to the Interim Order, the PMI Shareholder Approval.

  • The authorized share capital of PMI consists of unlimited number of PMI Shares.

  • All outstanding PMI Shares have been duly authorized and validly issued, are fully paid and non-assessable, and all PMI Shares issuable upon the exercise of rights under the PMI Options, PMI Warrants and any PMI Performance Rights have been duly authorized and, upon issuance, will be validly issued as fully paid and non-assessable, and are not and will not be subject to, or issued in violation of, any pre-emptive rights.

  • Any share certificate formerly representing PMI Shares which is not deposited with the Depositary on or prior to the sixth (6th) anniversary of the Effective Date shall cease to represent a right or claim of any kind or nature whatsoever.

  • There are no agreements purporting to restrict the transfer of the PMI Shares, no voting agreements, shareholders' agreements, voting trusts, or other arrangements restricting or affecting the voting of the PMI Shares.

  • In addition, PMI has obtained a lock-up from Sun Valley Gold LLC which holds approximately 6.9% of the issued and outstanding PMI Shares and Asanko has obtained a lock-up from Highland Park SA which holds approximately 9.6% of the issued and outstanding Asanko Shares.

Related to PMI Shares

  • Newco Shares means the common shares in the capital of Newco;

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.

  • Sold Shares shall have the meaning specified in Section 6.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Company Shares means the common shares in the capital of the Company;

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Subco Shares means the common shares in the capital of Subco;

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.

  • Dissent Shares means Company Shares held by a Dissenting Shareholder and in respect of which the Dissenting Shareholder has validly exercised Dissent Rights;

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.

  • Public Shares means the Ordinary Shares included in the Units issued in the Public Offering; (vi) “Trust Account” shall mean the trust account into which a portion of the net proceeds of the Public Offering and the sale of the Private Placement Warrants shall be deposited; (vii) “Transfer” shall mean the (a) sale of, offer to sell, contract or agreement to sell, hypothecate, pledge, grant of any option to purchase or otherwise dispose of or agreement to dispose of, directly or indirectly, or establishment or increase of a put equivalent position or liquidation with respect to or decrease of a call equivalent position within the meaning of Section 16 of the Securities Exchange Act of 1934, as amended, and the rules and regulations of the Commission promulgated thereunder with respect to, any security, (b) entry into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of any security, whether any such transaction is to be settled by delivery of such securities, in cash or otherwise, or (c) public announcement of any intention to effect any transaction specified in clause (a) or (b); and (viii) “Charter” shall mean the Company’s Amended and Restated Memorandum and Articles of Association, as the same may be amended from time to time.

  • Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.

  • Sale Shares means [Insert total number of shares of the Company] Shares, representing 100 percent of the total issued, subscribed and fully paid-up equity share capital of the Company held by the Shares Seller and Nominees as more particularly described in Annexure A attached hereto;

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).
