POC Notice has the meaning set forth in Section 5.10.2(d).

  • Erasca shall have the right, exercisable by written notice to Katmai within [***] ([***]) days after Erasca provides the POC Notice, to submit to Katmai a non-binding offer, including purchase price and other material terms, for (a) the purchase of all Licensed Patents, Licensed Know-How and other assets owned by Katmai that are necessary or useful for Exploitation of Licensed Products in the Licensed Field in the Territory or (b) for the purchase of Katmai.

  • Failing such designation by AstraZeneca, the Targacept Plan POC Notice shall be treated as a POC Notice that specifies that Targacept [********], and the provisions of [********] shall apply.

  • Upon receipt of the POC Notice or upon a mutual agreement in writing to proceed with the Collaboration (the date of receipt of such POC Notice or the execution of such mutual agreement in writing to proceed with the Collaboration, the “Collaboration Start Date”), the Parties will collaborate in the Development and Commercialization of the Collaboration Products in accordance with Article 4 below.

Dispatch Notices include: (a) Day-Ahead Schedules and Real-Time Dispatches where the RMR Unit or Units are flagged as RMR Dispatches as a result of the Market-Power Mitigation and Reliability Requirements Determination processes pursuant to the CAISO Tariff, (b) Manual RMR Dispatch Notices, (c) notices deemed to have been given by CAISO for the Energy actually Delivered by a Unit that starts or increases Energy output as a result of a “system emergency” as defined in the CAISO Tariff whether the start or increase occurs automatically (for Units specified in Section 2 of Schedule A as having the ability to Start-up or ramp automatically) or pursuant to a standing written order of the CAISO, and (d) Test Dispatch Notices given by CAISO under Section 4.9 other than Test Dispatch Notices issued at Owner’s request to test Availability or heat input of the Unit.
