Polaris Shares definition

Polaris Shares means, collectively, the shares of Polaris Common Stock and the shares of Polaris Performance Common Stock.

Examples of Polaris Shares in a sentence

  • The outstanding Polaris Shares have been duly authorized and are validly issued and outstanding, fully paid and nonassessable, and subject to no preemptive rights (and were not issued in violation of any preemptive rights).

  • The surrender of an Old Certificate shall not impact a holder’s right, to the extent applicable, to receive any declared but unpaid dividends on the Polaris Shares, Sirius Shares or Constellation Shares, as applicable, represented by such Old Certificate.

  • As of the date of this Agreement, other than the withholding of Polaris Shares to satisfy Tax obligations in respect of Polaris Equity Awards outstanding as of the date of this Agreement in accordance with their terms, Polaris has no commitment to redeem, repurchase or otherwise acquire, or to register with the SEC (other than in connection with the Transactions or as required by the Polaris Fxxxxxxx Letter Agreement), any Polaris Shares.

  • By the end of the Offer Period, Mineral Resources has a Relevant Interest in more than50.1 per cent of all Polaris Shares.

  • It is Polaris' current corporate policy that, if a person (such as MRL) acquires more than 50% of all Polaris Shares and, within 12 months of that event, the service contract of any executive Director or senior manager is terminated, then the relevant executive Director or senior manager will be entitled to a minimum of 6 months' salary in addition to any other accrued benefits such as leave that are otherwise owing.

  • The Directors encourage you to consider your personal risk profile, investment strategy, tax position and financial circumstances before making any decision in relation to your Polaris Shares.

  • Under these circumstances, the liquidity of Polaris Shares may be reduced, thereby impacting on Polaris Shareholders' ability to sell their Polaris Shares at price levels that reflect their value.

  • MRL has indicated that, subject to the MRL Offers being successful and it acquiring 100% of all Polaris Shares, Polaris' management team will be integrated into MRL as a Specialist Iron Ore Resources business unit.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Newco Shares means common shares in the capital of Newco;

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Company Shares means the common shares in the capital of the Company;

  • New Shares means ordinary or common shares, whether of the entity or person (other than the Share Issuer) involved in the Merger Event or a third party, that are, or that as of the Merger Date are promptly scheduled to be, (i) publicly quoted, traded or listed on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member of state of the European Union) or on another exchange acceptable to the Issuer and (ii) not subject to any currency exchange controls, trading restrictions or other trading limitations.

  • Consideration Shares has the meaning ascribed thereto in Section 2.2.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Amalco Shares means common shares in the capital of Amalco;

  • Common Shares means the common shares in the capital of the Company;

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.

  • Unit Shares means the Common Shares comprising part of the Units;

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • SpinCo Shares means the shares of common stock, par value $0.01 per share, of SpinCo.

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Subco Shares means the common shares in the capital of Subco;

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Sold Shares shall have the meaning specified in Section 6.
