Polaris Shares definition

Polaris Shares means, collectively, the shares of Polaris Common Stock and the shares of Polaris Performance Common Stock.

Polaris Shares means the 4,300,000 issued and outstanding common shares in the authorized share structure of Polaris, being all of the issued and outstanding common shares in the capital of Polaris as at the Time of Closing;

Examples of Polaris Shares in a sentence

  • Subject to the fulfilment of all of the terms and conditions hereof (unless waived as herein provided), at the Time of Closing, the Polaris Shareholders shall be deemed to have delivered to the Issuer certificates or equivalents representing the Polaris Shares to the Issuer and the Polaris Shareholders acknowledge that, without further action required, the share certificates evidencing the Polaris Shares shall be cancelled upon completion of the Transaction, in accordance with Article 11 hereof.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Amalco Shares means common shares in the capital of Amalco;

  • Common Shares means the common shares in the capital of the Company;

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.

  • Unit Shares means the Common Shares comprising part of the Units;

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • SpinCo Shares means the shares of common stock, par value $0.01 per share, of SpinCo.

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Subco Shares means the common shares in the capital of Subco;

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Sold Shares shall have the meaning specified in Section 6.
