Postpetition Note definition

Postpetition Note means and includes the Postpetition Note and all other promissory notes executed and delivered to the Postpetition Lender by the Borrower pursuant to the terms of this Agreement, as the same may be amended, restated, supplemented, extended or otherwise modified from time to time. A true and correct copy of the Postpetition Note is attached hereto as Exhibit E.

Examples of Postpetition Note in a sentence

  • If the effective rate of interest which would otherwise be payable under this Agreement, any Postpetition Note or any of the other Postpetition Financing Documents would exceed the Maximum Rate, then the rate of interest which would otherwise be contracted for, charged, or received under this Agreement, any Postpetition Note or any of the other Postpetition Financing Documents shall be reduced to the Maximum Rate.

  • Anything in this Agreement, any Postpetition Note, or the other Postpetition Financing Documents to the contrary notwithstanding, the Borrower shall not be required to pay unearned interest on any Postpetition Note or any of the Postpetition Obligations, or ever be required to pay interest on any Postpetition Note or any of the Postpetition Obligations at a rate in excess of the Maximum Rate, if any.

  • The entries in the Register shall be conclusive in the absence of manifest error, and the Borrower, Postpetition Lender, assignees and participants shall treat each Person whose name is recorded in the Register as the owner of the Postpetition Loans and any Postpetition Note evidencing such Postpetition Loans recorded therein for all purposes of this Agreement.

  • The Postpetition Note Purchase Agreement provided for three tranches of notes: Class A Notes in the principal amount up to $16,320,000; Class B Notes in the principal amount up to $6,000,000 in exchange for new cash of the Debtors; and Delayed Closing Notes of up to $500,000, in exchange for new cash to the Debtors.

  • The facility fee shall accrue at all times from the Closing Date until the Maturity Date, shall be computed on a daily basis, and shall be payable in arrears (i) on the fifth Business Day after the last day of each fiscal quarter, commencing on the first such day after the Closing Date and (ii) on the Maturity Date.

  • The Postpetition Loan Agreement, the Postpetition Note, the Postpetition Mortgage, the Postpetition Rent Assignment and each other agreement, instrument and document evidence and/or secure the Postpetition Financing being sometimes referred to collectively as the “Postpetition Loan Documents” and individually as a “Postpetition Loan Document”.

  • Prepetition Loan Documents means the “Loan Documents” as defined in the Prepetition Credit Agreement, in each case as amended, supplemented, or modified from time to time prior to the Petition Date.

  • DIP Loan Documents means the Replacement DIP Loan Documents (as defined in the DIP Order).

  • First Lien Loan Documents means the “Loan Documents” as defined in the First Lien Credit Agreement.

  • Second Lien Loan Documents means the Second Lien Credit Agreement and the other “Loan Documents” under and as defined in the Second Lien Credit Agreement, as each such document may be amended, renewed, restated, supplemented or otherwise modified from time to time.

  • Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Senior Loan Agreement means that certain Term Loan Agreement, dated as of June 26, 2015, by and among Borrower and Senior Lenders, as amended, restated, supplemented or otherwise modified from time to time.

  • DIP Loan Any Loan (i) with respect to which the related Obligor is a debtor-in-possession as defined under the Bankruptcy Code, (ii) which has the priority allowed pursuant to Section 364 of the Bankruptcy Code and (iii) the terms of which have been approved by a court of competent jurisdiction (the enforceability of which is not subject to any pending contested matter or proceeding).

  • Bridge Loan Documents means the “Loan Documents” as defined in the Bridge Credit Agreement.

  • Term Loan Security Documents means the “Security Documents” as defined in the Term Loan Credit Agreement.

  • Intercompany Loan Agreement has the meaning set forth in the Purchase and Sale Agreement.

  • Borrower Loan Agreement means the Borrower Loan Agreement, of even date herewith, between the Governmental Lender and the Borrower, as supplemented, amended or replaced from time to time in accordance with its terms.

  • Subordination Deed means a subordination deed entered into or to be entered into by, inter alia, each Subordinated Creditor and the Agent in agreed form;

  • Subordinated Loan Documents means at any time the agreements and other documents then governing the Subordinated Indebtedness.

  • Bridge Loan Agreement means that certain Senior Unsecured Interim Loan Agreement, dated as of December 20, 2007, among Tribune, the Bridge Lenders, the Former Bridge Loan Agent, JPMorgan Chase Bank, N.A., as syndication agent, and Citicorp North America, Inc. and Bank of America, N.A., as co-documentation agents, as amended, restated, supplemented or otherwise modified from time to time.

  • Term Loan Obligations means the “Obligations” as defined in the Term Loan Credit Agreement.

  • Loan Obligations means (a) the due and punctual payment by the Borrower of (i) the unpaid principal of and interest (including interest accruing during the pendency of any bankruptcy, insolvency, receivership or other similar proceeding, regardless of whether allowed or allowable in such proceeding) on the Loans made to the Borrower under this Agreement, when and as due, whether at maturity, by acceleration, upon one or more dates set for prepayment or otherwise, (ii) each payment required to be made by the Borrower under this Agreement in respect of any Letter of Credit, when and as due, including payments in respect of reimbursement of disbursements, interest thereon (including interest accruing during the pendency of any bankruptcy, insolvency, receivership or other similar proceeding, regardless of whether allowed or allowable in such proceeding) and obligations to provide Cash Collateral and (iii) all other monetary obligations of the Borrower owed under or pursuant to this Agreement and each other Loan Document, including obligations to pay fees, expense reimbursement obligations and indemnification obligations, whether primary, secondary, direct, contingent, fixed or otherwise (including monetary obligations incurred during the pendency of any bankruptcy, insolvency, receivership or other similar proceeding, regardless of whether allowed or allowable in such proceeding), and (b) the due and punctual payment of all obligations of each other Loan Party under or pursuant to each of the Loan Documents.

  • Term Loan Documents means the “Loan Documents” as defined in the Term Loan Agreement.

  • Promissory Note means an instrument that evidences a promise to pay a monetary obligation, does not evidence an order to pay, and does not contain an acknowledgment by a bank that the bank has received for deposit a sum of money or funds.

  • Second Lien Note Documents means the Second Lien Note Indenture, the Second Lien Notes, the Second Lien Security Documents and each other document, instrument or agreement relating to the issuance of the Second Lien Notes, as the same may be amended, restated, supplemented, waived and/or otherwise modified from time to time in accordance with the terms thereof, of this Agreement and of the Intercreditor Agreement.

  • Prepetition Credit Agreement has the meaning specified in the recitals hereto.

  • Subordinated Loan Agreement means the subordinated loan agreement dated on or about the Closing Date, as amended from time to time, and entered into by, amongst others, the Issuer, the Subordinated Lender and the Security Trustee, under which the Subordinated Lender will advance (or has advanced) the Subordinated Loan to the Issuer.

  • Second Lien Security Agreement means the “Security Agreement” as defined in the Second Lien Credit Agreement.

  • Second Lien Security Documents means the “Security Documents”, as defined in the Second Lien Credit Agreement, and any other agreement, document or instrument pursuant to which a Lien is granted to secure any Second Lien Obligations or under which rights or remedies with respect to any such Lien are governed.

  • Project Loan Agreement means the Project Loan Agreement dated as of the date hereof among the Borrower, the Governmental Lender and the Fiscal Agent, as amended, supplemented or restated from time to time.

  • First Lien Security Agreement means the “Security Agreement” as defined in the First Lien Credit Agreement.

  • Prepetition Secured Parties means the “Secured Parties” under, and as defined in, the Prepetition Credit Agreement, in each case as amended, modified or supplemented through the Petition Date.
