Prepayment Portion definition

Prepayment Portion means in respect of any prepayment to be made pursuant to Section 2.11(b) or 2.11(c), a fraction, the numerator of which is the aggregate principal amount of Term Loans, Additional Incremental Term Loans and Incremental Term Loans of any Class subject to prepayment under such Section on account of Excess Cash Flow or the applicable type of Prepayment Event, as the case may be (whether or not such Loans are actually to be prepaid on account of such Prepayment Event or Excess Cash Flow), and the denominator of which is the sum of such aggregate principal amount and the aggregate Revolving Commitments and Additional Incremental Revolving Commitments of any Class subject to reduction pursuant to Section 2.08(f) or (g) on account of Excess Cash Flow or the applicable type of Prepayment Event, as the case may be (whether or not such Commitments are actually to be reduced on account of such Prepayment Event or Excess Cash Flow).
Prepayment Portion means (a) the aggregate amount of the Net Cash Proceeds received with respect to a Casualty Event, Disposition or issuance of Refinancing Senior Debt, as the case may be, times (b) a fraction, the numerator of which is the aggregate principal amount of Loans outstanding on the date of prepayment or the date of the offer to make a prepayment under Section 2.09 and the denominator of which is the aggregate amount of Indebtedness of the Borrower outstanding on the date of prepayment or the date of the offer to make a prepayment under Section 2.09 that is required to be similarly prepaid.
Prepayment Portion means (a) the aggregate amount of the Net Cash Proceeds received with respect to a Casualty Event or Disposition, as the case may be, times (b) a fraction, the numerator of which is the aggregate principal amount of Loans outstanding on the date of prepayment or the date of the offer to make a prepayment under Section 2.12 and the denominator of which is the aggregate amount of Debt of the Borrower and HoldCo outstanding on the date of prepayment or the date of the offer to make a prepayment under Section 2.12 that is required to be similarly prepaid.

More Definitions of Prepayment Portion

Prepayment Portion means, in relation to any amount at any time, with respect to any Lender, a share of such amount determined by multiplying such amount by a fraction, the numerator of which shall be the Principal Outstanding with respect to such Lender under the Term Facility at such time, and the denominator of which shall be the sum of (a) the aggregate Principal Outstanding under the Term Facility at such time, (b) the aggregate unpaid principal amount of the 2012 Notes at the time outstanding, plus (c) the aggregate unpaid principal amount of the Prudential Notes at the time outstanding.
Prepayment Portion means the percent by which the owner of the Assessor’s Parcel is partially prepaying the Annual Special Tax obligation.
Prepayment Portion shall have the meaning set forth in paragraph 5I(iii) of this Agreement.

  • Solicited Discounted Prepayment Notice means an irrevocable written notice of a Borrower Solicitation of Discounted Prepayment Offers made pursuant to Section 2.11(a)(ii)(D) substantially in the form of Exhibit M.

  • Proposed Prepayment Date is defined in Section 8.3(c).

  • Optional Prepayment Price shall have the meaning set forth in Section 14.02(a).

  • Applicable Prepayment Premium has the meaning specified therefor in the Fee Letter.

  • Specified Discount Prepayment Response means the irrevocable written response by each Term Lender, substantially in the form of Exhibit K, to a Specified Discount Prepayment Notice.
