Presiding Director definition

Presiding Director means the Outside Director selected by the other Outside Directors as the presiding Director at meetings of the Outside Directors held in accordance with applicable rules of any securities exchange on which the Company’s securities are listed.
Presiding Director means a Director who is not an officer of, or employed in an executive or any other capacity by, the Corporation.
Presiding Director means, at any given time, the lead, independent member of the Board of Directors of the Corporation occupying such position.

  • If the Chairman of the Board of Directors is not present, the Presiding Director shall chair meetings of the Board of Directors.

  • If at any time the Chairman of the Board shall be an executive officer or former executive officer of the Corporation or for any reason shall not be an independent director, a Presiding Director shall be selected by the independent directors from among the directors who are not executive officers or former executive officers of the Corporation and are otherwise independent.

  • If any Director plans to make proposals at the Meeting of the Board of Directors, he shall submit a written summary thereof to the Presiding Director of the Board of Directors and the Chairman and Representative Director in advance.

  • Special meetings of the Board of Directors may be held at such time and at such places as may be determined by Chairman of the Board of Directors or the Presiding Director.

  • If the Chairman of the Board is an officer of, or employed in an executive or any other capacity by, the Corporation, the Board of Directors also shall elect a Presiding Director.

  • The Presiding Director shall have such authority and powers as the Board of Directors may from time to time prescribe.

  • Chairman-cum-Managing Director means Chairman-cum-Managing Director of any of the Subsidiary Companies of Coal India Limited, presently Central Coalfields Limited, Eastern Coalfields Limited, Western Coalfields Limited, Bharat Coking Coal Limited, Central Mine Planning & Design Institute Limited, South Eastern Coalfields Limited, Northern Coalfields Limited and Mahanadi Coalfields Limited.

  • Chairman means the Chairman of the Board;

  • Chairperson means the Chairperson of the Board;
