SCIC has applied to the Utah Board of Water Resources (“UBWR”) for, and has been authorized to receive, financing in the form of a grant and loan (“UBWR Loan”) for the purpose of financing the cost of the acquisition and installation of water meters on every connection to that portion of the Pressurized Irrigation System utilized for the delivery of water to SCIC’s shareholders (the “Company Meters”).
The Town’s right of first refusal shall not apply to any sale of fee title to the real property served by a connection to the Pressurized Irrigation System.
These costs are billed at 25% to the Culinary System and 75% to the Pressurized Irrigation System and the Parties.

Annual maintenance costs and repairs to Town vehicles and equipment utilized in the operation and maintenance of the Pressurized Irrigation System, specifically the following equipment currently utilized by the Town: a backhoe; a mini-excavator; a vactor trailer, a pick-up truck, and a dump truck.
Instead, the Parties intend for the Irrigation Advisory Board to give well-reasoned and examined advice to the Town and the Council on matters pertaining to the operations, maintenance and improvements to the Pressurized Irrigation System.
