Price Adjustments definition

Price Adjustments means the price adjustments mechanism set out in
Price Adjustments. The Base Price shall be adjusted on a vessel load basis as follows: BTU: If the actual BTU/lb on an as received basis of any shipment accepted by Buyer is other than [*], an adjustment shall be calculated based on each shipment as follows: ((Actual Shipment BTU/lb — [*]) ÷ [*]) x Contract Price BTU: if the actual BTU/lb on an as received basis of any shipment accepted by Buyer is lower than [*] the Base Price for such shipment shall be reduced by an additional [*] per MT, notwithstanding the BTU/lb adjustment above. Sulfur: If the actual sulfur % on an as received basis of any shipment accepted by Buyer is greater than [*], the Base Price for such shipment shall be reduced by [*] per MT.
Price Adjustments. Seller's unit prices are based on certain material costs. These materials include, but are not limited to, gold, packages and silicon. Adjustments shall be as follows:

Price Adjustments. The quoted tour price is based on tariffs, fees, airfares, and costs in effect at the time you sign this agreement. We reserve the right to increase the quoted price after booking if inflation, costs of fuel, labor or materials, airfares, supplier costs, currency exchange rates, tariffs, government fees, and admission charges change. You agree to and will pay for any price increase. Responsibility: Hinoki Travels acts only as an intermediary for the various independent suppliers that provide lodging, meals, transportation, sightseeing, activities or other goods and services connected with your tour (“Supplier” or “Suppliers”). You acknowledge that you are aware and clearly understand that these Suppliers are independent contractors, are not managed by Hinoki Travels, and are not agents or employees of Hinoki Travels. A Supplier’s services are subject to the Supplier’s own terms and conditions and the local laws and regulations of the relevant country. We will not provide any refund for a Supplier’s delay, cancellation, overbooking, or strike. You acknowledge and agree that Xxxxxx Travels is not responsible for and cannot be held liable for any negligent or willful act or failure to act of any Supplier, or of any other person or entity. To the extent there is a conflict between this Liability Waiver and our Booking Terms & Conditions (collectively, "Terms") and any third-party waivers and terms and conditions as they relate to you and Hinoki Travels, our Terms prevail and supersede the third-party waivers and terms and conditions.
Price Adjustments is replaced in its entirety as follows:
Price Adjustments. No price increases shall occur during the entire term of this Contract. Notwithstanding anything to the contrary contained in this Contract, no charges shall be made to LTD nor shall any payment be made to the Contractor in excess of the amount for any work done without prior written approval. Moreover, the Parties agree that LTD is a governmental entity and that all obligations beyond the current fiscal year are subject to funds being budgeted and appropriated.
Price Adjustments. Any requests for price changes (i.e. changing the percentage of the ISO-NE payment withheld by the Contractor) must be submitted prior to the contract renewal to be considered for the renewal period. Any such requests must be accompanied by documentation supporting the reasons for the requested change. The request, written on the Contractor’s letterhead must include: identified price increases and their source and copies of old and new price lists, if applicable, reflecting price changes. The same requirement shall apply to pricing established under any service agreement between an Eligible Entity and a Contractor. The Eligible Entity will address price change requests by either negotiating a price change and renewing the contract at the new price or denying the requested price increase and renewing the contract at the previous contract price. The Commonwealth will be advised of and will automatically receive the benefit of any price decreases retroactive to the dates of such decreases. It is the Contractor’s responsibility to notify the Eligible Entity of any such decrease. The Commonwealth reserves the right to negotiate price reductions based on increased volume at any point in duration of the contract.
