Price Setting Round definition

Price Setting Round has the meaning given to it in the Framework Agreement.
Price Setting Round has the meaning given to it in the applicable Framework Agreement. Services (i) the Procurement Services; (ii) the general customer services set out in Clause 2.6; (iii) contract management services in accordance with Clause 2.7, 2.8 and 2.9; and (iv) liaison services, in accordance with Clause 2.10. Site has the meaning given to it in the applicable Framework Agreement.

Examples of Price Setting Round in a sentence

  • The Authority may set a price for volumes of gas in respect of a Price Setting Round before receipt by the Authority of the Final Purchase Shape from the Supplier.

  • The Authority may, at any time between the relevant Price Setting Round Closing Date and the date which falls one Month before the first Day of the relevant Supply Year, instruct the Supplier to provide the Authority with a final Purchase Shape for Approval, based on the most up-to-date Customer Site Specific Information at the time (“Final Purchase Shape”).

  • Unless otherwise agreed by the Authority and the Supplier, Customers will join Price Setting Rounds prior to specified entry points (each being a (“Price Setting Round Commitment Point”)) as notified by the Authority to the Supplier and the Customers from time to time, provided that such Price Setting Round Commitment Points shall in no circumstances be later than the Price Setting Round Closing Date in respect of the relevant Supply Year.

  • The aggregate of the Supply Meter Point Daily Quantities for any Day for the Meters included in all of the Supply Points of all Committed Customers for any Price Setting Round (as specified in the Site List) shall be the ("Total Actual Demand") for that Day and that Price Setting Round.

  • In the case of each Price Setting Round, the Authority shall notify the Supplier prior to the Supply Start Date for that Price Setting Round whether that Price Setting Round is to be subject to the "Balancing Fee (Heren)" set out below or the "Balancing Fee (SMP)" set out below (and, where the Authority gives no such notification, the Balancing Fee (SMP) shall apply).

  • If the Customer adds a Supply Point after the Price Setting Round Commitment Point in respect of the relevant Supply Year, then the Customer shall pay the Supplier the Interim Price in respect of Interim Supply to such Supply Points during the Interim Supply Period, including any discount equivalent to those offered by the Supplier to the Customer under Clause 8.

  • Historic Demand in relation to: (i) the First Price Setting Round, the volume of natural gas supplied to the relevant Meter as determined by reference to the invoiced volume of natural gas in respect of a period of a Year ending on the six (6) Month Price Setting Round Commitment Point for the First Price Setting Round; and (ii) subsequent Price Setting Rounds, the volume of Gas Products supplied by the Supplier to the relevant Meter in the previous Price Setting Round in the relevant Supply Year.

  • For each Supply Point, based on the information obtained under Paragraph 4.1, the Supplier shall calculate the Monthly Percentage in accordance with the following formula for each Price Setting Round, and for each Supply Month in the Supply Year: MPm = MQm / AQm Where: MPm is the Monthly Percentage for Supply Month m MQm is the Monthly Quantity for Supply Month m AQm is the AQ for Supply Month m.

  • In relation to each Price Setting Round, the Authority shall determine the volumes of gas to be allocated.

Related to Price Setting Round

  • Remarketing Settlement Date means the date of the settlement of any Successful Remarketing, which will be three Business Days after such Remarketing.

  • Call Settlement Date means the fifth Business Day following the last Index Business Day in the Call Measurement Period.

  • Purchase Price Date means the date the Purchase Price is delivered by Lender to Borrower.

  • Purchase Contract Settlement Date means [ ].

  • Scheduled Settlement Date means a date on which a payment or delivery is to be made under Section 2(a)(i) with respect to a Transaction.

  • Cash Settlement Date means, for each Financially Settled Futures Transaction, the Business Day determined by Exchange from time to time in accordance with industry practice for such Transaction, as posted on Exchange’s Website not less than one month prior to the occurrence of such date, other than Invoices issued as a result of a Contracting Party’s Default or under the Close- out Procedure which amounts require payment immediately;

  • Net Share Settlement Amount For any Settlement Date, an amount equal to the product of (i) the number of Warrants exercised or deemed exercised on the relevant Exercise Date, (ii) the Strike Price Differential for the relevant Valuation Date and (iii) the Warrant Entitlement.

  • Net Settlement Amount means the Gross Settlement Amount, less the following payments in the amounts approved by the Court: Individual PAGA Payments, the LWDA PAGA Payment, Class Representative Service Payment, Class Counsel Fees Payment, Class Counsel Litigation Expenses Payment, and the Administration Expenses Payment. The remainder is to be paid to Participating Class Members as Individual Class Payments.

  • Price Source means the price source indicated in the table of Reference Assets comprising the Reference Portfolio under “Return of Your Deposit – Reference Portfolio” under Exchange or, if such price source is discontinued or otherwise unavailable, any other price source deemed reliable and appropriate by the Calculation Agent acting in good faith.

  • Gross Settlement Amount means $240,000 which is the total amount Standard agrees to pay under the Settlement, except as provided in Paragraph 8 below. The Gross Settlement Amount will be used to pay Individual Class Payments, Individual PAGA Payments, the LWDA PAGA Payment, Class Counsel Fees, Class Counsel Expenses, Class Representative Service Payment and the Administrator’s Expenses.

  • Subscription Settlement Date means the second Valuation Date after the Subscription Trade Date, provided that such Valuation Date is not a Disrupted Day and that such Valuation Date is both a Currency Business Day and a Clearing System Business Day.

  • Final Settlement Date has the meaning set forth in Section 2.4(c).

  • Cash Settlement Amount means the “Cash Settlement Amount” as determined by the Calculation Agent in accordance with Paragraph 6.

  • VWAP Purchase Price means the lesser of (i) the Closing Sale Price on the VWAP Purchase Date; or (ii) ninety-seven percent (97%) of volume weighted average price for the Common Stock traded on the Principal Market during normal trading hours on (A) the VWAP Purchase Date if the aggregate shares traded on the Principal Market on the VWAP Purchase Date have not exceeded the VWAP Purchase Share Volume Maximum and the Sale Price of Common Stock has not fallen below the VWAP Minimum Price Threshold (to be appropriately adjusted for any reorganization, recapitalization, non-cash dividend, stock split, reverse stock split or other similar transaction), or (B) the portion of the VWAP Purchase Date until such time as the sooner to occur of (1) the time at which the aggregate shares traded on the Principal Market has exceeded the VWAP Purchase Share Volume Maximum, or (2) the time at which the Sale Price of Common Stock falls below the VWAP Minimum Price Threshold (to be appropriately adjusted for any reorganization, recapitalization, non-cash dividend, stock split, reverse stock split or other similar transaction).

  • Pricing Period means the five (5) consecutive Trading Days after the Advance Notice Date.

  • Underlying Reference Closing Price Value means, in respect of a SPS Valuation Date, the Closing Price in respect of such day.

  • Failed Remarketing Condition—Purchased VRDP Shares means that the Liquidity Provider acquires and continues to be the beneficial owner for federal income tax purposes of any shares of a Series of VRDP Shares in connection with purchases made pursuant to the Purchase Obligation (whether as a result of an unsuccessful Remarketing or a Mandatory Purchase) on any Purchase Date, including shares of a Series of VRDP Shares that the Liquidity Provider continues to be the beneficial owner of for federal income tax purposes after the expiration or termination of the VRDP Shares Purchase Agreement.

  • TARGET Settlement Day means any day on which TARGET2 is open for the settlement of payments in euro;

  • Minimum Subsequent Subscription means, in relation to the Euro RDR ‘Retail’ Hedged

  • Market/Offer Price means the highest of (i) the price per share of Common Stock at which a tender or exchange offer therefor has been made, (ii) the price per share of Common Stock to be paid by any third party pursuant to an agreement with Issuer, (iii) the highest closing price for shares of Common Stock within the six-month period immediately preceding the date the Holder gives notice of the required repurchase of this Option or the Owner gives notice of the required repurchase of Option Shares, as the case may be, or (iv) in the event of a sale of all or any substantial part of Issuer's assets or deposits, the sum of the net price paid in such sale for such assets or deposits and the current market value of the remaining net assets of Issuer as determined by a nationally recognized investment banking firm selected by the Holder or the Owner, as the case may be, and reasonably acceptable to Issuer, divided by the number of shares of Common Stock of Issuer outstanding at the time of such sale. In determining the market/offer price, the value of consideration other than cash shall be determined by a nationally recognized investment banking firm selected by the Holder or Owner, as the case may be, and reasonably acceptable to Issuer.

  • Put Price has the meaning set forth in Section 8.05(a).

  • Net Purchase Price has the meaning set forth in Section 2.1.

  • Closing Purchase Price shall have the meaning ascribed to such term in Section 2.1(b), which aggregate purchase price shall be net of the underwriting discounts and commissions.

  • Price Schedule means the schedules or any part or individual schedule thereof, submitted by the Bidder with his Bid and forming a part of the Contract;

  • Net Share Settlement means the settlement method pursuant to which an exercising Warrantholder shall be entitled to receive from the Company, for each Warrant exercised, a number of shares of Common Stock equal to the Net Share Amount without any payment therefor.

  • Failed Remarketing Condition—Purchased VRDP Shares Redemption means redemption by the Corporation, at a redemption price equal to $100,000 per share plus accumulated but unpaid dividends thereon (whether or not earned or declared) to, but excluding, the date fixed by the Board of Directors for redemption, of shares of a Series of VRDP Shares that the Liquidity Provider shall have acquired pursuant to the Purchase Obligation and continued to be the beneficial owner of for federal income tax purposes for a continuous period of six (6) months during which such VRDP Shares are tendered for Remarketing on each Business Day in accordance with the Related Documents but cannot be successfully remarketed (i.e., a Failed Remarketing Condition-Purchased VRDP Shares shall have occurred and be continuing for such period of time with respect to such VRDP Shares), determined by the Corporation on a first-in, first-out basis, in accordance with and subject to the provisions of the Fee Agreement and these Articles Supplementary.
