If on any date this Bond is subject to mandatory tender for purchase or is required to be purchased at the election of the Registered Owner, payment of the Purchase Price of this Bond to such Registered Owner shall be made on the Purchase Date if delivery of this Bond is made to the Principal Office of the Tender Agent prior to 11:00 a.m., New York City time, on the Purchase Date or on such later Business Day upon which delivery of this Bond is made prior to 11:00 a.m., New York City time.
With respect to each Mandatory Tender Date, the Holders of any Bonds of such Series shall deliver in transferable form all such Bonds to the Principal Office of the Tender Agent on or before the 15th day next preceding such Mandatory Tender Date, whether or not an Election to Retain is filed.
At the time of delivery of Bonds to or upon the order of the Remarketing Agent as provided, the Remarketing Agent shall deliver to the Principal Office of the Tender Agent in immediately available funds an amount equal to the Purchase Price of the total principal amount of Bonds so specified in the Remarketing Notice.
Payment of the Purchase Price of this Bond tendered for purchase as herein described shall be payable (if such Bond is not held under a book-entry system as described in the Indenture) only upon presentation and surrender of this Bond at the Principal Office of the Tender Agent (as defined in the Indenture).
Concurrently with the notice described in the second preceding sentence, the Remarketing Agent shall also give the Trustee (with a copy to the Tender Agent) instructions as to the registration and delivery, with such delivery to occur at the Principal Office of the Tender Agent, to the Remarketing Agent of any Tendered Bonds for whose purchase the Remarketing Agent will make a deposit of funds with the Tender Agent on the Tender Date.
Payment of the Purchase Price of any Bonds tendered for purchase on a Settlement Date shall be payable in lawful money of the United States of America only upon presentation thereof at the Principal Office of the Tender Agent.
