Prior Investors definition

Prior Investors means Perceptive Life Sciences Master Fund, Ltd., a Cayman Islands exempted company; venBio Select Fund LLC, a Delaware limited liability company; OrbiMed Partners Master Fund Limited, a Bermuda exempted company; and The Biotech Growth Trust PLC, a United Kingdom investment trust.

Prior Investors means the holders of all of the preferred shares of the Company issued and outstanding immediately prior to the Closing and the Recapitalization, as such terms are defined in the A1 Share Purchase agreement.

Prior Investors has the meaning assigned to it in the recitals.

Examples of Prior Investors in a sentence

• The undersigned Prior Investors who in the aggregate hold at least two-thirds of the outstanding Registrable Securities (as defined in the Prior Agreement) and the undersigned Founders hereby amend and restate the Prior Agreement pursuant to Section 6.7 thereof.
