Examples of Prior Plan Option in a sentence
Any shares of Stock subject to Prior Plan Option shall again be available for issuance under the Plan only if the Prior Plan Option is terminated or cancelled but not if it expires.
Subject to adjustment pursuant to Section 11, the maximum aggregate number of Shares that may be delivered in connection with Awards granted under the Plan shall not exceed the sum of (i) 12,200,000 Shares, (ii) the number of Prior Plan Available Shares and (iii) the number of Unissued Prior Plan Option Shares.
If an outstanding Option, including a Prior Plan Option, for any reason expires or is terminated or canceled or if shares of Stock are acquired upon the exercise of an Option subject to a Company repurchase option and are repurchased by the Company at the Participant's exercise or purchase price, the shares of Stock allocable to the unexercised portion of such Option or Prior Plan Option or such repurchased shares of Stock shall again be available for issuance under the Plan.
The Prior Plan Option is hereby assumed by, and will continue in effect under, the 2016 Plan in accordance with the terms of this Option Agreement.
As so assumed, the Prior Plan Option is referred to herein as the “Option”.
If an outstanding Option, including any Prior Plan Option, for any reason expires or is terminated or canceled or if shares of Stock are acquired upon the exercise of an Option, including any Prior Plan Option, subject to a Company repurchase option and are repurchased by the Company at the Optionee’s exercise price, the shares of Stock allocable to the unexercised portion of such Option or Prior Plan Option or such repurchased shares of Stock shall again be available for issuance under the Plan.
This Option Agreement supersedes and replaces the agreement under which the Prior Plan Option was granted.
If an outstanding Option, including any Prior Plan Option, for any reason expires or is terminated or canceled or if shares of Stock are acquired upon the exercise of an Option, including any Prior Plan Option, subject to a Company repurchase option and are repurchased by the Company at the Optionee's exercise price, the shares of Stock allocable to the unexercised portion of such Option or Prior Plan Option or such repurchased shares of Stock shall again be available for issuance under the Plan.
If an outstanding Option, including any Prior Plan Option, for any reason expires or is terminated or cancelled, the Shares allocable to the unexercised portion of such Option or Prior Plan Option shall again be available for issuance under the Plan.
Notwithstanding the preceding sentence, in no event shall any Prior Plan Share again be made available for making Awards under the Plan in connection with or following exercise of the Prior Plan Option or portion thereof to which the share relates.
