Prior Warrants definition

Prior Warrants has the meaning set forth in Section 3.1(g).

• Purchaser also agrees to waive any anti-dilution and/or reset rights that Purchaser may have pursuant to the Prior Warrants (as provided by Section 4 therein) granted to Purchaser in connection with the applicable Prior Closing, in connection with any of the Warrants granted to Purchaser herein, and/or any other Warrants granted to any purchasers in connection with the offering, of which this Agreement is a part.

• Upon their issuance in accordance with the terms of this Agreement and the Prior Warrants, the Prior Warrant Shares will be duly authorized, validly issued, fully paid and non-assessable, the Warrant will be duly authorized and validly issued, and the Warrant Shares, upon exercise of the Warrant in accordance with its terms, will be duly authorized.

• The Termination Date (as defined in the Warrant) of the Prior Warrants issued on May 8, 2015, June 11, 2015 and November 6, 2015 is amended to December 23, 2019.

• Upon closing of the transactions contemplated hereby, the Company will not have outstanding any shares of Prior Preferred Stock or any Prior Warrants and will have outstanding 210,469 shares of Series E Preferred Stock and Series E Warrants to purchase up to 3,750 additional shares of Series E Preferred Stock.

• At the Closing, the Company shall issue to each Investor a New Warrant to purchase the same number of shares of Common Stock that such Investor was entitled to purchase under the Canceled Prior Warrants.

More Definitions of Prior Warrants

Prior Warrants means the 2013 Warrants, the 2014 Warrants, the 2015 Series A Warrants, the 2015 Series B Warrants, the 2015 Additional Warrants, the 2015 4Q Warrants, the 2015 4Q Pre-Funded Warrants, the 2016 1Q Warrants, the 2016 Post 1Q Warrants, and the 2017 Q1 Warrants, in each case as issued, amended, supplemented or otherwise modified prior to the date hereof, in accordance with the restrictions set forth in the Prior Indenture and as amended, supplemented or otherwise modified on or following the date hereof in accordance with Section 4.39(c) of this Indenture.

Prior Warrants shall refer to (i) that certain Warrant, dated December 20, 1996, in the name of Technology Investment Fund Incorporated, to purchase an aggregate of 41,800 shares of Common Stock; (ii) that certain Warrant, dated November 4, 1998, in the name of Finova Technology Finance, to purchase 26,250 shares of Common Stock; and (iii) that certain Warrant, dated April 30, 1999, in the name of TBCC Funding Trust II, to purchase 50,000 shares of Common Stock.

Prior Warrants means the class A common share purchase warrants issued by the Company in an underwritten public offering on June 1, 2022.

Prior Warrants means the Common Stock purchase warrants issued in connection with the issuance of the Company’s 10% Convertible Preferred Stock.

Prior Warrants means the common stock purchase warrants issued by the Company to the Purchasers on July 20, 2023 to purchase (i) up to 2,205,883 shares of Common Stock pursuant to those certain Series A Common Stock Purchase Warrants and (ii) up to 2,205,883 shares of Common Stock pursuant to those certain Series B Common Stock Purchase Warrants.
