Processing Year 1 definition

Processing Year 1 is defined in Section 8.1 of this Agreement.
Processing Year 1 means the period commencing on the Effective Date and ending on June 30, 2007. *** Omitted pursuant to a confidential treatment request. The confidential portion has been filed separately with the SEC.
Processing Year 1 begins on Startup and ends 12 months thereafter. For purposes of this Agreement, each subsequent "Processing Year" means each twelve (12) month period commencing on the expiration of the previous Processing Year in which Services are performed.

Examples of Processing Year 1 in a sentence

  • Processing Year 1 of the Term shall commence on July 1, 2002 and continue through June 30, 2003.

  • In Processing Year 1, Customer will submit to FDMS for processing authorization inquiries (which are identified in Exhibit "B" and currently billed as items number 300, 305, 317, 318, 1101, 1102, 6601, 6602, 6603, 6604, 6605, 6606, 6607, 6611, 6621 and 6624 (which numbers may change during the Term of this Agreement), and collectively referred to as the "Authorizations") in an amount equal to [****] ([****]) Authorizations (the "Year 1 Minimum Authorizations").

  • For example: if at the conclusion of Processing Year 1, it is determined (by applying the formula stated above) the CPI Change Percentage equals negative four percent (-4%), First Data may decrease the applicable Ancillary Services Fees for Processing Year 2 by *** (-4% plus *** x 50% = ***).

  • For example: if at the conclusion of Processing Year 1, it is determined (by applying the formula stated above) the CPI Change Percentage equals four percent (4%), First Data may increase the applicable Ancillary Services Fees for Processing Year 2 by *** (4% minus *** x 50% = ***).

  • For each Processing Year after Processing Year 1, prior to the commencement of each Processing Year, Galileo may increase each line item of Processing Fees set forth in Exhibit C that were in effect for the immediately preceding Processing Year by an amount not to exceed the lesser of (a) [*****] or (b) the year over year percentage change in the most recently reported Consumer Price Index (“CPI”).

  • Within one hundred twenty (120) days following the conclusion of each Processing Year during the Term of this Agreement after Processing Year 1, FDR shall determine the Total Annual Processing Fees paid to FDR by Customer during the just concluded Processing Year.

  • In Processing Year 1, Customer will require and shall pay FDR for processing services sufficient to generate aggregate Processing Fees at least equal to [* * *] (the "Year 1 Minimum Processing Fee").

  • In each Processing Year after Processing Year 1, Customer will require and shall pay FDR for processing services sufficient to generate aggregate Processing Fees at least equal to eighty percent (80%) of the Processing Fees paid during the immediately preceding Processing Year, but in no event less than one million dollars ($1,000,000.00) (the "Minimum Processing Fees").

  • In each Processing Year after Processing Year 1, except as provided in subsection (b), Customer will require and shall pay FDR for Services sufficient to generate aggregate Processing Fees at least equal to [*] of the Processing Fees paid during the immediately preceding Processing Year, but in no event less than [*] in each such Processing Year (the "Minimum Processing Fees").

  • For purposes of this Agreement, a "Processing Year" means Processing Year 1 and each subsequent twelve (12) month period.

Related to Processing Year 1

  • Operating Year means the calendar year commencing January 1st of each year (including the calendar year within which the Commencement Date occurs) during the Term.

  • Funding Year means in the case of the first Funding Year, the period commencing on the Effective Date and ending on the following March 31, and in the case of Funding Years subsequent to the first Funding Year, the period commencing on the date that is April 1 following the end of the previous Funding Year and ending on the following March 31;

  • Contract Year means each period of twelve (12) consecutive months during the Initial Term of this Agreement, with the first Contract Year commencing on the Effective Date, and with each subsequent Contract Year commencing on the anniversary of the Effective Date.

  • Billing Period means (subject to Article 6.1 of the Agreement) the calendar month ending with the Metering Date. The first Billing Period shall commence from the Commercial Operation Date and end with the Metering Date corresponding to the month in which the Commercial Operation Date occurs.

  • Reporting Year means a twelve-month compliance reporting period required under the Applicable Program.

  • transition year means the financial year of an issuer or business in which the issuer or business changes its financial year-end;

  • Accounting Year means the financial year commencing from the first day of April of any calendar year and ending on the thirty-first day of March of the next calendar year;

  • Production Period is the period that for winter cereal advances commences October 1, 2021 and terminates September 30, 2023; for advances on all other field crops, honey, hogs, goats, sheep and lambs commences April 1, 2022 and terminates September 30, 2023; and for advances on cattle, continuous flow cattle, and bison commences on April 1, 2022 and terminates on March 31, 2024.

  • Contract Quarter means a three-month period that commences on January 1, April 1, July 1 or October 1 and ends on March 31, June 30, September 30, or December 31, respectively.

  • Delivery Year means the Planning Period for which a Capacity Resource is committed pursuant to the auction procedures specified in Tariff, Attachment DD, or pursuant to an FRR Capacity Plan under Reliability Assurance Agreement, Schedule 8.

  • Preceding year means a period of 12 consecutive months fixed by the division

  • Semi-annual (2/Year) sampling frequency means the sampling shall be done during the months of June and December, unless specifically identified otherwise.

  • Program Year means the annual period beginning January 1 and ending December 31.

  • Relevant Year t means the Financial Year for the purposes of which any calculation falls to be made; "Relevant Year t-1" means the Financial Year preceding Relevant Year t, and similar expressions shall be construed accordingly;

  • Service Year means fiscal year, except that:

  • Supply Period means the period commencing on the Supply Period Start Date and terminating on the Termination Date.

  • Gas Year means the period of 365 or 366 Gas Days, as the case may be, beginning at October 1st at 06:00 hours (Belgian time) and ending at September 30th 06:00 hours (Belgian time) of the next year.

  • Election Year means a year in which ordinary elections for local governments are required to be held;

  • Billing cycle or billing period means the period for which regular electricity bills as specified by the Commission, are prepared for different categories of consumers by the licensee;

  • Sales Year means the calendar year during which the Company sold Cigarettes in a Beneficiary State requiring the deposit of QEF Principal.

  • Royalty Year means, (i) for the year in which the First Commercial Sale occurs (the “First Royalty Year”), the period commencing with the first day of the Calendar Quarter in which the First Commercial Sale occurs and expiring on the last day of the Calendar Year in which the First Commercial Sale occurs and (ii) for each subsequent year, each successive Calendar Year.

  • Basic Monthly Earnings means your monthly rate of earnings from the Sponsor in effect immediately prior to the date Disability or Partial Disability begins. However, such earnings will not include bonuses, commissions, overtime pay and extra compensation.

  • Yearly (1/Year) sampling frequency means the sampling shall be done in the month of September, unless specifically identified otherwise in the effluent limitations and monitoring requirements table.

  • Prior Month Receipt Period With respect to each Distribution Date, the calendar month preceding the month in which such Distribution Date occurs.

  • Semi-annual (2/Year) sampling frequency means the sampling shall be done during the months of June and December, unless specifically identified otherwise.
