Product Financial Statements definition

Product Financial Statements shall have the meaning set forth in Section 5.21.
Product Financial Statements is defined in Section 3.3.5 of this Agreement.
Product Financial Statements means (i) a balance sheet and income statement of the Product as a stand-alone business as of and for the one year period ended June 30, 2015, reviewed by an independent certified public accounting firm and (ii) a balance sheet and income statement of the Product as a stand-alone business as of September 30, 2015 and for the period from July 1, 2015 through September 30, 2015.

  • Seller shall use commercially reasonable efforts to prepare and deliver to Purchaser the Product Financial Statements within 60 days of Closing.

  • The Product Financial Statements and the Consolidated Financial Statement required hereunder shall be in the format shown on Exhibit B attached hereto.

  • With respect to each such Product, the Product Financial Statements of such Product present fairly the financial position of such Product in all material respects as of the date of each such Product Financial Statement and the results of operations and changes in net assets in all material respects of such Product during the period covered by such Product Financial Statements, subject, in the case of interim financial statements, to year-end adjustments and the absence of footnotes.

  • The Product Financial Statements have been prepared in accordance with GAAP consistently applied from the books and records of Seller which have been maintained in a manner consistent with Seller’s accounting policies.

  • Attached hereto as Section 5.21 of the Disclosure Schedule are statements of revenue and net margin associated specifically with the Products for the year ended December 31, 1997 ("Product Financial Statements").

  • Purchaser shall promptly pay, or reimburse Seller for, as applicable, all third-party expenses related to preparation and review of the Product Financial Statements (including the fees and expenses of the independent certified public accounting firm).
