Program Fee Amount definition

Program Fee Amount means, for any Settlement Period or part thereof, an amount equal to the product of (i) the Program Fee and (ii) the average daily Net Investment during the days elapsed in such Settlement Period and (iii) the quotient of the number of days elapsed during such Settlement Period divided by 360.
Program Fee Amount means, for a given Sale Date Loan Pool with respect to a Distribution Date, an amount equal to the sum of (1) the product of: (A) the Program Fee Rate related to such Sale Date Loan Pool, (B) the Net Investment Amount after all payments to the Buyer on the Prior Distribution Date, and (C) the actual number of days elapsed during the Due Period related to such Distribution Date divided by 360 and (2) the aggregate of all Program Fee Amounts due on prior Distribution Dates that remain unpaid.
Program Fee Amount means, with respect to a Distribution Date, an amount equal to the sum of (a) the product of: (i) the applicable Program Fee Rate, (ii) the daily Net Investment Amount for the applicable period, and (iii) the actual number of days elapsed from and including the prior Distribution Date to but excluding the next Distribution Date divided by either three hundred sixty five (365) or three hundred sixty six (366) (such number, the actual number of days in the year in which such Due Period begins), and (b) the aggregate of all Program Fee Amounts due on prior Distribution Dates that remain unpaid. The Program Fee Amount calculation for the first Distribution Date shall be based upon the period commencing on the first Sale Date to but excluding the first Distribution Date.

  • The Seller agrees to pay to applicable Buyer Agent, for the account of the applicable Buyer, as applicable, in consideration for the Purchase Obligation hereunder, from and including the Closing Date to but excluding the Expiration Date, the Facility Fee Amount and the Program Fee Amount.

More Definitions of Program Fee Amount

Program Fee Amount means, for any Settlement Period or part thereof with respect to a Buyer, an amount equal to the product of (i) the Program Fee and (ii) either the average daily Liberty Net Investment or the average daily Gotham Net Investment, as the case may be, during the days elapsed in such Settlement Period and (iii) the quotient of the number of days elapsed during such Settlement Period divided by 360. “Program Support Agreement” means, collectively, all liquidity agreements, funding agreements (other than the Liquidity Agreements), credit agreements, letter of credit agreements, surety agreements, security agreements, letters of credit and all other agreements which may be in effect from time to time and which provide liquidity or credit support in respect of the commercial paper issued by a Buyer, excluding, in the sole discretion of the related Managing Agent, any such agreement the absence of which would not reasonably be expected to have a material adverse effect on the ability of such Buyer to issue its commercial paper to fund the Liberty Net Investment or the Gotham Net Investment, as the case may be, hereunder.
