To determine the fair market value of the Jamboree Office REIT Shares for the purpose of the New Property Appreciation Rights, Jamboree Office REIT will obtain an appraisal.
If, after Reorganized CWOP exercises a Property Appreciation Right, Jamboree Office REIT elects to declare a dividend of any cash paid upon the exercise of the New Property Appreciation Rights, then the dividend will be distributed to shareholders of Jamboree Office REIT based on their ownership interests after giving effect to the exercise of the applicable right.
In general, the New Tranche A Property Appreciation Right grants Reorganized CWOP the right to exchange each of its Jamboree LLC Units for one Jamboree Office REIT Share.
