Unless otherwise waived in writing by Tenant, or provided that Tenant has not failed to timely fund construction, if Potential Landlord fails to complete the Proposed Improvements within said nine (9) month period, the Potential Landlord agrees to axxxx rental due and owing under the Lease equal to $100.00 per day as liquidated damages to cover losses, expenses and damages, not to exceed $20,000.
Purchaser shall not submit any plans and specifications for the Proposed Improvements to any governmental authority for review or approval until such plans and specifications have been reviewed and approved by Seller.
Any additional funds needed for the Proposed Improvements, as determined according to a construction budget mutually approved by both Potential Landlord and Tenant shall be paid for by Tenant and reserved in a segregated escrow account (“Additional Work Escrow”).
Seller shall be responsible for obtaining all necessary permits, licenses and approvals in connection with the Utility Work, provided that Seller shall have no obligation to pay any connection or similar fees associated with Purchaser's connection of utility lines serving the Proposed Improvements to the utility lines extended by Seller to the boundary line of the Property.
Tenant shall cooperate as reasonably necessary so that the general contractor will cause the Proposed Improvements to be completed promptly and with due diligence.
Purchaser further agrees that Purchaser's site plan and plans for the exterior portions of the Proposed Improvements shall be subject to the approval of Seller.
It is specifically agreed and understood that given the uncertainty as to the extent of Tenant's damages in the event Potential Landlord fails to timely complete the Proposed Improvements hereunder, such liquidated damages are reasonable and contemplate Tenant’s actual or anticipated harm as a result of such breach, and are not intended to serve as a penalty.
Taking for expansion of Okeechobee Boulevard shall not be deemed to be a material taking of the Property unless such taking materially affects the ability of the Purchaser to develop the Proposed Improvements upon the Property, whereupon such taking would be deemed to be a material taking.
