Such Preemptive Offer Notice shall be accompanied by any written offer, if any, from the Proposed Recipient to purchase such Issuance Securities.
For a period of sixty (60) days following the expiration of the ten (10) day period described in Section 7.4 above, the Company may issue the New Securities with respect to which the Investor’s preemptive right under this Section 7 was not exercised, at a price and upon terms not more favorable to the Proposed Recipient thereof than specified in the Issuance Notice.
Within ten (10) days following the receipt of the notice referred to in Section 7.3 (the “Issuance Notice Period”), the Investor may elect to exercise its rights under this Section 7 to purchase New Securities being proposed to be issued to the Proposed Recipient on the same terms and conditions as set forth on the Issuance Notice by giving written notice to the Company specifying the number of securities to be purchased by the Investor.
In the event the Company has not completed the sale of such securities to the Proposed Recipient within such sixty (60) day period, the Company shall not thereafter issue or sell any securities without first again offering such securities to the Investor in the manner provided in this Section 7.
If all or any portion of the New Securities are not subscribed to by the Purchaser as described above, then the Company may, at its election, during a period of 30 days following the expiration of the Exercise Period, issue the remaining New Securities to the Proposed Recipient at a price and upon terms not more favorable to the Proposed Recipient than those stated in such New Issue Notice.
