ProQuest Agreement definition

ProQuest Agreement means that certain Transaction Agreement, dated as of May 15, 2021 (together with all schedules and exhibits thereto and other agreements contemplated thereby, and as modified, supplemented, substituted, replaced, restated or otherwise consented to or waived from time to time), relating to the Public Parent’s agreement to acquire ProQuest and its subsidiaries.

Examples of ProQuest Agreement in a sentence

  • In the event that (i) the Escrow Release Date does not take place on or prior to November 8, 2021, (ii) the Issuer shall have notified the Escrow Agent in writing that in its reasonable judgment, the ProQuest Acquisition will not be consummated on or prior to such date or (iii) the ProQuest Agreement has been terminated, then the Issuer will redeem the Securities on the terms set forth in Section 3.12(c) of the Indenture.
