Examples of Public Listing in a sentence
Subject to the terms and conditions of this Agreement, commencing after one hundred eighty (180) days following the consummation of the first Public Listing, any Requisite Investor(s) shall have the right to make a written request from time to time (a “Demand Registration Request”) to the Company for registration, qualification or compliance of all or part of the Registrable Securities held by such Requisite Investor(s).
Notwithstanding any provisions to the contrary in this Deed, the parties hereto acknowledge and agree that this Section 2.11 shall survive the completion of any Public Listing or IPO, subject to good faith consultation by the GDSH Founder with the Public Listing or IPO underwriters and compliance with Applicable Law.
On the 61st day after the Public Listing Date (the “Commitment Fee Put Date”), the Purchaser shall have at its sole discretion, the option (the “Commitment Fee Put Right”) to sell such shares to the Company for $1.875 million (the “Commitment Fee Put Amount”) in immediately available funds payable in USD by wire payment to an account designated by the Purchaser in writing.
