Public Offering Limitations definition

Public Offering Limitations means (A) except as set forth in the proviso at the end of this paragraph, no Management Shareholder shall be permitted to exercise its rights under Section 5.02 hereof (x) with respect to the First Public Offering and (y) until such time as the Percentage Ownership of the DLJ Entities and the Institutional Shareholders and their Permitted Transferees shall be less than 50% of their aggregate Initial Ownership of Common Stock and (B) in each Public Offering following the First Public Offering, such Management Shareholder shall be entitled to transfer a number of Shares not exceeding such Management Shareholder's Pro Rata Portion of non-Purchased Shares; provided, however, that notwithstanding the restrictions set forth in clauses (A) and (B), each Management Shareholder shall be permitted to exercise its rights pursuant to Section 5.02 hereof in respect of such Management Shareholder's Pro Rata Portion of its Purchased Shares in any Public Offering and transfer such Purchased Shares pursuant to Section 3.05(a)(ii).
Public Offering Limitations means (i) no Other Stockholder shall be permitted to exercise its rights to require registration of any Company Securities in a Piggyback Registration under Section 1.02 hereof with respect to the Initial Public Offering unless the DLJMB Members are registering their Registrable Securities in the Initial Public Offering and (ii) in each Public Offering, including, without limitation, the Initial Public Offering pursuant to clause (i) above, such Other Stockholder shall be entitled to Transfer a number of the class of Company Securities to be Transferred in the Offering not exceeding (A) the number of Registrable Securities held by such Other Stockholder at such time multiplied by (B) a fraction the numerator of which is the number of Registrable Securities to be registered by the DLJMB Members in any registration pursuant to Section 1.02 and the denominator of which is the total number of Registrable Securities held by the DLJMB Members immediately prior to any such registration.
Public Offering Limitations means (A) no Management Stockholder shall be permitted to sell any Shares in the Initial Public Offering, (B) in the first public offering following the Initial Public Offering, no Management Stockholder may sell more than the lesser of (x) 50% of his or her Pro Rata Portion and (y) 20% of his or her holdings prior to the offering and (C) in each public offering thereafter, each Management Stockholder may sell no more than the lesser of (x) his or her Pro Rata Portion and (y) 50% of his or her holdings prior to the offering.

Public Offering Limitations means (A) no Management Stockholder shall be permitted to exercise its rights under Section 5.02 hereof (x) with respect to the Initial Public Offering and (y) until such time as the Aggregate Ownership of the DLJ Entities shall be less than 50% of their aggregate Initial Ownership and (B) in each Public Offering following the Initial Public Offering, such Management Stockholder shall be entitled to transfer a number of Shares not exceeding such Management Stockholder's Pro Rata Portion of such Management Stockholder's Shares.

Public Offering Limitations means (A) no Management Shareholder shall be permitted to exercise its rights under Section 5.02 hereof (x) with respect to the Initial Public Offering and (y) until such time as the Percentage Ownership of the Institutional Shareholders and their Permitted Transferees shall be less than 50% of their aggregate Initial Ownership of Company Equity Securities and (B) in each Public Offering following the Initial Public Offering, such Management Shareholder shall be entitled to transfer a number of shares of After Acquired Securities not exceeding such Management Shareholder's Pro Rata Portion of After Acquired Securities.
