Vendor agrees to assist Citizens in responding to any PRR in a prompt and timely manner as required by Florida’s Public Records Laws.
The Agreement shall be subject to Florida’s Public Records Laws, Chapter 119, Florida Statutes.
If Vendor continues to assert in good faith that Vendor’s Confidential Information is confidential or exempt from disclosure or production pursuant to Florida’s Public Records Laws then Vendor shall be solely responsible for defending its position, or seeking a judicial declaration.
Vendor also agrees to reimburse Citizens for any attorneys’ fees, costs, and expenses incurred by Citizens or awarded against Citizens in any legal proceeding in which the issue is a third party’s challenge to Vendor’s assertion of an exemption under Florida’s Public Records Laws.

Failure to meet any of these provisions or to comply with Florida’s Public Records Laws as applicable shall be a material breach of this Agreement and shall be enforced in accordance with the terms and conditions of the Agreement.
JEA is a body politic and corporate and subject to these laws and related statutes ("Florida's Public Records Laws").

The City considers all information, documentation and other materials requested to be submitted in response to this solicitation to be a non‐ confidential and/or non‐proprietary nature and therefore subject to public disclosure under the Ohio Public Records Laws except as specifically exempted by those laws.
