Public Sale Date definition

Public Sale Date means the earlier to occur of: (a) the 90th day following the date on which the Common Stock is listed on the New York Stock Exchange or admitted to trading and quoted on the Nasdaq National Market or Nasdaq SmallCap Market and (b) the first date on which both of the following conditions are met: (1) a registration statement covering the resale of the Restricted Stock has been declared effective by the Securities and Exchange Commission, and no stop order suspending the effectiveness of such registration statement is in effect and (2) the Common Stock is listed on the New York Stock Exchange or admitted to trading and quoted on the Nasdaq National Market or Nasdaq SmallCap Market; provided, however, that if upon the occurrence of any event described in clauses (a) and (b) the Restricted Stock is subject to restrictions on resale as a result of a lock-up agreement or arrangement applicable to such shares in connection with a public offering of stock, the Public Sale Date shall be the earlier of the first business day following the date of expiration of the lock-up period and a date 181 days from the date the lock-up period commenced. Notwithstanding the above vesting schedule, but subject to the further provisions hereof, upon the occurrence of the following events the unvested shares of Restricted Stock shall vest or be forfeited as provided below:
Public Sale Date means the date on which a public offering of securities of the Corporation under the Act is effective.

Examples of Public Sale Date in a sentence

  • Subject to the further provisions of this Agreement, the shares of Restricted Stock shall become 100% vested upon the earlier of: (i) later to occur of: (A) the first anniversary of the Date of Grant and (B) the Public Sale Date (as defined below) and (ii) the second anniversary of the Date of Grant.

  • On or before the tenth (10th) day following the Public Sale Date, Purchaser shall engage the services of an attorney and/or title company to prepare all documents to be executed at Settlement and to conduct Settlement.

  • The Purchaser Tokens shall be unlocked and claimable by the Purchaser in accordance with the schedule set out below: ● The Purchaser Tokens will be unlocked and claimable on a “per block basis” linearly over a period of twelve (12) months following the Public Sale Date, until such time that 100% of the Purchaser Tokens have been unlocked and released in aggregate.

  • We note that 6,500 blocks is an estimate only and the actual number will be outside the control of the Company and the Group Entity.The vesting of all Purchaser Tokens will be completed on the date that is twelve (12) months following the Public Sale Date.

  • Public Sale means any sale pursuant to a registered public offering under the Securities Act or any sale to the public pursuant to Rule 144 promulgated under the Securities Act effected through a broker, dealer or market maker.

  • Sale Date means the date that the Bonds are awarded by the District to the winning bidder.

  • Public Equity Offering means an underwritten primary public offering of common stock of the Company pursuant to an effective registration statement under the Securities Act.

  • Co-Sale Notice has the meaning set forth in Section 5.3.

  • Initial Sale Time means 2:30 p.m. (Eastern time) on the date of this Underwriting Agreement.

  • Failed Remarketing Condition—Purchased VRDP Shares means that the Liquidity Provider acquires and continues to be the beneficial owner for federal income tax purposes of any shares of a Series of VRDP Shares in connection with purchases made pursuant to the Purchase Obligation (whether as a result of an unsuccessful Remarketing or a Mandatory Purchase) on any Purchase Date, including shares of a Series of VRDP Shares that the Liquidity Provider continues to be the beneficial owner of for federal income tax purposes after the expiration or termination of the VRDP Shares Purchase Agreement.

  • Subsequent Offering means any further issuance of Interests in any Series, excluding any Initial Offering or Transfer.

  • Resale Period shall have the meaning assigned thereto in Section 2(a) hereof.

  • Shelf Offering has the meaning set forth in Section 1(d)(i).

  • Servicing Transfer Event means any of the events specified in the Servicing Agreement, whereby the servicing of the Mortgage Loan is required to be transferred to the Special Servicer from the Master Servicer.

  • Qualified Initial Public Offering means a public offering of the securities of Parent pursuant to an effective registration statement filed under the Securities Act, that is fully underwritten pursuant to a firm commitment contract and with respect to which the product of (a) the price to the public per share multiplied by (b) the aggregate number of offered shares will yield Net Offering Proceeds of at least $50,000,000.

  • Shelf Offering Notice has the meaning set forth in Section 1(d)(i).

  • Initial Public Offering means an offering of securities registered under the Securities Act of 1933, the issuer of which, immediately before the registration, was not subject to the reporting requirements of sections 13 or 15(d) of the Securities Exchange Act of 1934.

  • Failed Remarketing Condition—Purchased VRDP Shares Redemption means redemption by the Corporation, at a redemption price equal to $100,000 per share plus accumulated but unpaid dividends thereon (whether or not earned or declared) to, but excluding, the date fixed by the Board of Directors for redemption, of shares of a Series of VRDP Shares that the Liquidity Provider shall have acquired pursuant to the Purchase Obligation and continued to be the beneficial owner of for federal income tax purposes for a continuous period of six (6) months during which such VRDP Shares are tendered for Remarketing on each Business Day in accordance with the Related Documents but cannot be successfully remarketed (i.e., a Failed Remarketing Condition-Purchased VRDP Shares shall have occurred and be continuing for such period of time with respect to such VRDP Shares), determined by the Corporation on a first-in, first-out basis, in accordance with and subject to the provisions of the Fee Agreement and these Articles Supplementary.

  • Offer Closing Date has the meaning set forth in Section 1.01(f).

  • Subsequent Closing Date means, with respect to each Subsequent Closing, the date on which such Subsequent Closing is deemed to have occurred.

  • Second Closing Date means the date of the Second Closing.

  • Subsequent Transfer Date With respect to each Subsequent Transfer Instrument, the date on which the related Subsequent Mortgage Loans are sold to the Trust Fund.

  • Fundamental Change Effective Date means the date on which any Fundamental Change becomes effective.

  • Failed Remarketing Condition—Unpurchased VRDP Shares means that a Beneficial Owner (other than the Liquidity Provider or its affiliates) continues to hold VRDP Shares, that were subject to a valid Tender, after any Purchase Date as a result of the failure by the Liquidity Provider for any reason to purchase such VRDP Shares pursuant to the Purchase Obligation (whether as a result of an unsuccessful Remarketing or a Mandatory Purchase) ("Unpurchased VRDP Shares"), until such time as all Outstanding Unpurchased VRDP Shares are (i) successfully Remarketed, (ii) purchased by the Liquidity Provider pursuant to the Purchase Obligation, or (iii) if not successfully Remarketed or purchased by the Liquidity Provider pursuant to the Purchase Obligation, the subject of a validly tendered Notice of Revocation (or any combination of the foregoing); and any Unpurchased VRDP Shares shall be deemed tendered for Remarketing until the earliest to occur of the foregoing events (i), (ii) or (iii) with respect to such Unpurchased VRDP Shares.

  • Tender Closing Date means the date and time set out in column (C) of Part 1 of the Schedule to the Tender Notice;

  • Initial Optional Purchase Date The first Distribution Date following the date on which the Aggregate Loan Balance is less than 10.00% of the Cut-off Date Balance.

  • Initial Offering Period means the period commencing with the initial effective date of the Prospectus and terminating no later than the ninetieth (90th) day following such date unless extended for up to an additional 90 days at the sole discretion of the General Partner.

  • Servicing Transfer Date The date on which a Servicing Transfer occurs.

  • Asset Transfer means a sale, lease or other disposition of all or substantially all of the assets of the Company.

  • Series Closing Date means the date designated as such in the Series Term Sheet.
