  • With the assistance of the Seller’s own professional advisors, to the extent that the Seller has deemed appropriate, the Seller has made its own legal, tax, accounting and financial evaluation of the merits and risks of an investment in the Purchaser Common Units and Parent Class C Common Stock and has been provided reasonable opportunity to ask questions of and receive answers from representatives of the Purchaser and the Parent regarding the business and operations of the Purchaser and the Parent.

Related to Purchaser Common Units

  • Purchaser Common Stock means the common stock, par value $0.01 per share, of Purchaser.

  • Buyer Common Stock means the common stock, $0.01 par value per share, of Buyer.

  • Common Units is defined in the Partnership Agreement.

  • LP Units means the non-voting limited partnership units in the capital of BEP, other than the Preferred Units, including any LP Units issued pursuant to the Redemption-Exchange Mechanism.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).
