Purchaser Common Units definition

Purchaser Common Units shall have the meaning set forth in the Investment Agreement.
Purchaser Common Units means units representing limited liability company interests in Purchaser, following the effectiveness of the Domestication.
Purchaser Common Units means limited partnership units of Acquiror LP that are redeemable at the option of the holder of such units and, if such option is exercised, exchangeable at the option of Acquiror for Domesticated Acquiror Common Stock in accordance with the terms of the Amended and Restated Waldencast Partners LP Agreement.

  • After the Closing Date, there shall be no further transfer on the records of the Trading Partnership or its transfer agent of certificates representing Trading Partnership Common Units and if such certificates are presented to the Trading Partnership for transfer, they shall be canceled against delivery of the certificate or certificates for Purchaser Common Units and Fractional Unit Payment as hereinabove provided.

  • Purchaser Common Stock means the common stock, par value $0.01 per share, of Purchaser.

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Seller Common Stock means the common stock, par value $0.01 per share, of Seller.

  • Buyer Common Stock means the common stock, par value $0.01 per share, of Buyer.

  • Class A Common Units means a Common Unit which is designated as a “Class A Common Unit” and which has the rights, preferences and other privileges designated in Annex A hereto and elsewhere in this Agreement in respect of holders of Common Units.

  • Company Units has the meaning set forth in the Recitals.

  • Common Units is defined in the Partnership Agreement.

  • LP Units means the non-voting limited partnership units in the capital of BEP, other than the Preferred Units, including any LP Units issued pursuant to the Redemption-Exchange Mechanism.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Over-Allotment Units means the additional number of Private Units the Sponsor will be required to purchase in the event that the underwriters in the Company’s initial public offering exercise their over-allotment option, as described in the prospectus relating to the Company’s initial public offering.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Common Unitholder means a Member who is the registered holder of Common Units.

  • Class B Units means the Class B Units of the Company.

  • LLC Units has the meaning set forth in the LLC Agreement.

  • Class A Common Shares means class A common shares of a nominal or par value of US$0.00001 each in the capital of the Company having the rights provided for in the Memorandum and Articles of Association, and any shares into which such class A common shares may be converted.

  • Class A Common Unit means a Common Unit having the rights and obligations specified with respect to Class A Common Units in this Agreement.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • OP Units means units of limited partnership interest in the Operating Partnership.

  • Acquiror Common Stock means the common stock, $0.001 par value per share, of Acquiror.

  • Option Closing Purchase Price shall have the meaning ascribed to such term in Section 2.2(b), which aggregate purchase price shall be net of the underwriting discounts and commissions.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.

  • Purchaser Stock Price means, with respect to any Common Stock Fundamental Change, the average of the daily Closing Price for one share of the common stock received by holders of the Common Stock in such Common Stock Fundamental Change during the 10 Trading Days immediately prior to the date fixed for the determination of the holders of the Common Stock entitled to receive such common stock or, if there is no such date, prior to the date upon which the holders of the Common Stock shall have the right to receive such common stock.

  • Class B Common Shares means the Class B Convertible Voting Common Shares of the Company, par value $1.00 per share.
