Examples of Purchaser Objection Notice in a sentence
If Purchaser delivers a Purchaser Objection Notice within such five (5) business day period, Escrow Agent shall continue to hold the Deposit until otherwise directed by either (i) joint written instructions from Purchaser and Seller or (ii) a court order binding on the Escrow Agent which has not been stayed or vacated before disbursement of the Deposit.
If a Purchaser Objection Notice is delivered, Sellers and Purchaser shall attempt in good faith for sixty (60) days to agree upon the rights of the respective Parties with respect to each of such claims.
If no Purchaser Objection Notice has been delivered or no Seller Objection Notice is made within the period, then the Draft Completion Calculation shall be conclusive, final and binding the Parties and shall constitute the "Final Completion Calculation" and the amount resulting will be the "Final Completion Amount".
If a Purchaser Objection Notice is delivered, Seller and Purchaser shall attempt in good faith for sixty (60) days after delivery of the Purchaser Objection Notice to agree upon the rights of the respective Parties with respect to each of such claims.
If no Purchaser Objection Notice is made within the abovementioned period, then the items in the Purchaser Price Notice shall be conclusive, final and binding upon the Parties and shall constitute the Pro-Rata Completion Amount.
Escrow Agent agrees, (x) promptly following its receipt of any PGRLP Disbursement Request or PGRLP Objection Notice, to deliver a copy thereof to Purchaser, and (y) promptly following its receipt of any Purchaser Disbursement Request or Purchaser Objection Notice, to deliver a copy thereof to PGRLP.
In the event Escrow Agent receives either a PGRLP Objection Notice or a Purchaser Objection Notice, Escrow Agent shall not pay all or that portion of the requested funds to which an objection is raised unless and until it receives a joint written notice to do so from both Purchaser and PGRLP or a final judgment of a court having jurisdiction.
Any Purchaser Objection Notice must contain Purchasers’ statement that the Dispute which was the subject of the Representative’s Claim Notice was not resolved in accordance with the specific provisions of the Purchase Agreement and be in substantially the form attached hereto as Exhibit D.
If Purchaser does not deliver a Purchaser Objection Notice within the Purchaser Review Period, Purchaser shall be deemed to agree in all respects with the Closing Statements and the items and amounts reflected thereon shall be final and binding upon Purchaser and Seller.
In the event a Purchaser Claim Notice or a Representative Claim Notice is subject to a Representative Objection Notice or a Purchaser Objection Notice, respectively, the Escrow Agent shall distribute the Purchase Price Adjustment Fund in accordance with joint written instructions of the Purchasers and the Representatives or pursuant to a final and non-appealable determination of a court of competent jurisdiction.
