Purchaser Products definition

Purchaser Products means the products researched, developed, manufactured, marketed, commercialized, distributed and/or sold by the Purchaser Business, and any line extensions or other developments with respect to such products that are in progress as of the date hereof or immediately prior to the Closing Date.

Purchaser Products means the Supplied Products that the Parties have not otherwise agreed from time to time are Producer Products.

Purchaser Products means the Supplied Products listed in Exhibit A as Purchaser Products.

Examples of Purchaser Products in a sentence

• Purchaser shall reimburse Producer for the costs of any change to the labeling or packaging for Purchaser Products, including costs of capital equipment and process upgrades and of obsolescence of any materials or inventory; provided that Purchaser’s liability for such reimbursement of materials and inventory shall be limited to levels of inventory that are consistent with the binding portion of the most recent Forecast prior to agreement to make such change.

• Purchaser shall control the content and type of all product labeling and packaging for Purchaser Products, and shall have the responsibility, at Purchaser’s expense, for any changes or supplements thereto, including the expense of securing any approvals required by the FDA or other applicable Medical Regulatory Authorities or Certification Bodies for any such changes or supplements.

• If such recall, withdrawal or field correction of any Purchaser Products results from any other reason, Purchaser shall bear all costs of conducting the recall, withdrawal or field correction in accordance with the recall guidelines of the applicable Medical Regulatory Authority, including expenses of such recall, withdrawal or field correction.

• Notwithstanding anything to the contrary contained herein, Purchaser shall have the final decision-making authority with respect to any recall, withdrawal or field correction of any Purchaser Products and conducting any such recall, withdrawal or field correction.

• During the Term, Producer shall (a) manufacture, or cause to be manufactured, for Purchaser the Purchaser Products and (b) supply, or cause to be supplied, for Purchaser the Producer Products pursuant to the terms of this Agreement.

More Definitions of Purchaser Products

Purchaser Products as used herein, means (i) the services provided or products existing, manufactured, sold, offered for sale, leased, licensed, or brokered by a Purchaser or its Affiliates prior to or as of the date of a Purchase; and/or (ii) the evolution of such Purchaser’s (or its Affiliates’) prior or existing products or services (as described in subpart (i) of this Section) after a Purchase.

Purchaser Products means Semiconductor Products sold by Seller and its Subsidiaries, or after the Closing, by the Purchaser or any of its Affiliates, and all modified versions thereof, any reasonably foreseeable extensions or improvements thereto, or any new Semiconductor Products that are developed to replace products existing as of the Closing, that are sold by Purchaser or its Subsidiaries after the Closing as Semiconductor Products.

Purchaser Products means the Cray Products and Vector Supercomputers distributed, licensed and/or sold by Purchaser.

Purchaser Products means Medical Products as defined in the Asset Purchase Agreement.

Purchaser Products means Storage Products sold by Previous Owner and Avago and its Subsidiaries, or after the Closing, by the Purchaser or any of its Affiliates, and all modified versions thereof, any reasonably foreseeable extensions or improvements thereto, or any new Storage Products that are developed to replace products existing as of the Closing, that are sold by Purchaser or its Subsidiaries or Affiliates after the Closing as Storage Products.

Purchaser Products means Avago Sensor Products (as defined in the Purchase Agreement) sold by General IP and its Subsidiaries, or after the Closing, Licensed Image Sensor Products made by or for the Purchaser or any of its Affiliates, and all modified versions of any of the foregoing, any reasonably foreseeable extensions or improvements to any of the foregoing, or any new Licensed Image Sensor Products that are developed after the Closing, that are made or sold by or for Purchaser or its Subsidiaries or Affiliates after the Closing as Licensed Image Sensor Products.

Purchaser Products means products and services of the businesses in which Purchaser or any of its Affiliates is now or hereafter engaged, including the business of making (but not having made) Third Party products for Third Parties when Purchaser or any Purchaser Affiliates is acting as a contract manufacturer or foundry for such Third Parties. The term Purchaser Products includes the Technology embodied in and/or used to manufacture or deliver the products and services referred to in the preceding sentence as well as marketing and other collateral materials related thereto. “Subsidiary” shall have the meaning set forth in the APA.
