Put Offer definition

Put Offer means a Change of Control Offer, a Subordinated Loan Offer or a Marketing Approval Offer.
Put Offer is defined in Section 11.6(a).
Put Offer means a written notice to the creditors holding the Creditor Membership Interests of the respective Valuation Periods granting such persons the right, but not the obligation, to put (in its sole and absolute discretion) their respective Creditor Membership Interests to Eco Investments in exchange for the Put Purchase Price.

  • The Company will have the right to accept the Put Offer by providing all Investors with an irrevocable written notice of acceptance (the “Acceptance Notice”), along with a copy of the Put Notice, within ten Business Days following receipt of the Put Notice.

  • Within 15 Business Days of any Put Notice being given (the “Put Offer Period”), Syntel shall have the option to accept the Put Offer to Sell by giving notice of such acceptance to State Street.

  • If the Company has accepted the Put Offer, the consummation of the Transfer of the Put Shares contemplated by the Put Offer (the “Put Closing”) will occur within 30 days following the later of (x) the determination of the Put Price pursuant to the mutually agreement of the parties or (y) if an Appraiser is utilized pursuant to Section 7.1(d), the date of delivery of the Appraiser’s Report.

  • If the Company does not accept the Put Offer within ten Business Days following receipt of the Put Notice (the “Expiration Date”), the Company will be deemed to have waived any and all rights under this Section 7.1 with respect to the Put Offer, and the provisions of Section 7.2 will control at all times following the Anniversary Date.

  • Notwithstanding anything else to the contrary in the Certificate of Designations, in connection with any Sale of the Business (as defined in the Certificate of Designations) that requires Special Board Approval or is otherwise approved by at least one director designated by the Investcorp Investors, the Investcorp Investors agree that they cannot exercise the Put Offer rights under Article 7 of the Certificate of Designations.

  • The Put Notice will identify the aggregate number of Put Shares proposed to be purchased by the Company, the Put Price and any other material terms and conditions of the Put Offer, and, if accepted, will be binding upon all Investors.

  • Notwithstanding any other provisions of this Company Notice, the Indenture or the Notes, we will not accept for payment or pay for any Notes tendered pursuant to the Put Offer if the Company does not satisfy the Closing Condition.

  • If Merchant makes a timely objection to the Put Offer Price, then it shall negotiate in good faith with the Clarks regarding the price at which Merchant will purchase the Put Shares, and the closing of the sale of the Put Shares shall be held five business days following the agreement of the parties regarding the purchase price therefor.

  • Sell Offer means an offer to sell Capacity Resources in a Base Residual Auction, Incremental Auction, or Reliability Backstop Auction.

  • Final Offer means the offer on which a resource was dispatched by the Office of the Interconnection for a particular clock hour for the Operating Day.

In determining the market/offer price, the value of consideration other than cash shall be determined by a nationally recognized investment banking firm selected by the Holder or Owner, as the case may be, and reasonably acceptable to Issuer.

  • First Offer has the meaning set forth in Section 3.9(e)(1) or Section 11.1(b)(i), as applicable.

  • First Offer Period has the meaning set forth in Section 13.5.

  • Purchase Offer shall have the meaning assigned to such term in Section 2.25(a).

  • Repurchase Offer shall have the meaning specified in Section 11.1(b).

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • First Offer Notice shall have the meaning set forth in Section 14.4(a).

  • Increment Offer means a type of Virtual Transaction that is an offer to sell energy at a specified location in the Day-ahead Energy Market. A cleared Increment Offer results in scheduled generation at the specified location in the Day-ahead Energy Market.

  • Redemption Notice Date means, with respect to a Redemption, the date on which the Company sends the Redemption Notice for such Redemption pursuant to Section 4.03(F).

  • Extension Offer has the meaning specified in Section 2.15(a).

  • Subsequent Offering means any further issuance of Interests in any Series, excluding any Initial Offering or Transfer.

  • Net Proceeds Offer Payment Date has the meaning provided in Section 4.16.

  • Offering Notice has the meaning set forth in Section 4.3(b).
