You will not give any advice to a Qualified Retailer or a Qualified Representative concerning suitability.
You will promptly forward to the Distributor a copy of each complaint received from a customer, a Qualified Retailer or a regulatory agency concerning the solicitation of purchasers for and/or servicing of the Variable Company Products pursuant to this Agreement.
You will promptly notify the Distributor in writing if you receive notice of any governmental inquiry concerning compliance by you, any of your Representatives or any Qualified Retailer with any laws or regulations or NASD rules.
There are no material licensing, distribution or other agreements between Borrower and any vendor or supplier of inventory or raw materials except (i) that certain 1-800 Contacts Qualified Retailer Agreement between Vistakon Division of Xxxxxxx & Xxxxxxx Vision Care, Inc.
You will not distribute, or permit any of your Representatives to distribute, a Variable Company Product to a Qualified Retailer if you know or have reason to believe that such Qualified Retailer intends to sell such Product, in whole or part, for the purpose of resale or to otherwise transfer any of the rights of ownership or benefits under the policy directly or indirectly to a third party.
Such subordination shall apply only to the extent of the lesser of (a) the Distribution Portion in the amount set forth in the Assignment that the Qualified Retailer signs and delivers to Purchaser on or before the Closing Date and (b) the amount set forth beside the name of the applicable Qualified Retailer in the Supply Agreement Adjustment Spreadsheet.

The parties agree that each of the retailers identified as a Qualified Retailer in the Supply Agreement Adjustment Spreadsheet is a “Qualified Retailer” for all purposes of the Purchase Agreement (including Section 8.02(f) thereof, entitled “Aggregate Minimum Annual Committed Purchases of Qualified Retailers” and Section 3.05(b)(3) thereof, entitled “Supply Agreement Adjustment”).
