  • A Dissenting Shareholder shall, at the Effective Time, cease to have any rights as a holder of Raging River Shares and shall only be entitled to be paid the fair value of such holder's Raging River Shares net of all withholding or other taxes.

  • In no event shall Raging River or Baytex be required to recognize any Dissenting Shareholder as a securityholder of Raging River after the Effective Time and the names of such holders shall be removed from the register of holders of Raging River Shares as at the Effective Time.

  • No order, ruling or determination having the effect of suspending the sale of, or ceasing the trading of, the Raging River Shares or any other securities of Raging River has been issued by any Governmental Authority and is continuing in effect and no proceedings for that purpose have been instituted, are pending or, to the knowledge of Raging River, are contemplated or threatened under any Applicable Laws or by any Governmental Authority.

  • The fair value of the Raging River Shares held by a Dissenting Shareholder shall be determined as of the close of business on the last Business Day before the day on which the Arrangement Resolution is approved by holders of Raging River Shares at the Raging River Meeting.

  • The Manager shall act as an authorized representative of each Company in executing resident agreements and occupancy agreements with respect to the applicable Community, but the Manager shall not enter into such agreements for a duration of more than one year without the prior consent of the applicable Company.

  • No delisting, suspension of trading in or cease trading order with respect to the Raging River Shares is pending or, to the knowledge of Raging River, threatened.

  • Original Shares means, when used in reference to any one or more Stockholders, the Shares held by such Stockholder or affiliated funds on November 30, 2010, or any shares or other securities into which or for which such Shares may have been converted or exchanged in connection with any exchange, reclassification, dividend, distribution, stock split, combination, subdivision, merger, spin-off, recapitalization, reorganization or similar transaction.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.

  • Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.

  • Rollover Shares has the meaning given in the recitals.

  • Sale Shares shall have the meaning set forth in Recital B above; and

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Alternate VRDP Shares Purchase Agreement means any agreement with a successor liquidity provider replacing the VRDP Shares Purchase Agreement (or any replacement therefor) upon its termination in accordance with its terms and containing a Purchase Obligation substantially similar to the Purchase Obligation therein, as determined by the Fund.

  • Rollover Shareholders means each of Expert Master Holdings Limited, Mr. Longhua Piao and UMW China Ventures (L) Ltd.

  • Membership Interests has the meaning set forth in the recitals.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Founders’ Shares means 1,000 shares with a par value of $1 per share, 500 of which were issued to MACRO Securities Depositor, LLC and 500 of which were issued to Claymore Securities, Inc., in exchange for the Initial Deposit.

  • Sold Shares shall have the meaning specified in Section 6.

  • Initial Shareholders means the Sponsor, the Directors and officers of the Company or their respective affiliates who hold shares prior to the IPO;

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.

  • VMTP Shares means Variable Rate MuniFund Term Preferred Shares, $0.00001 par value per share, liquidation preference $100,000 per share plus an amount equal to accumulated but unpaid dividends thereon (whether or not earned or declared), of the Trust. The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • Founder Shares Purchase Agreement shall have the meaning given in the Recitals hereto.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Initial Units means, with respect to any Initial Limited Partner, the aggregate number of Class A Units owned by such Initial Limited Partner as of the date of this Agreement.

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.
