Servicer Termination Notice Defined in Section 6.15.
Network Termination Point (NTP) means the physical point at which a subscriber is provided with access to a public communications network; in the case of networks involving switching or routing, the NTP is identified by means of a specific network address, which may be linked to a subscriber number or name;
Termination Notice means the communication issued in accordance with this Agreement by one Party to the other Party terminating this Agreement;
Term SOFR Transition Event means the determination by the Administrative Agent that (a) Term SOFR has been recommended for use by the Relevant Governmental Body, (b) the administration of Term SOFR is administratively feasible for the Administrative Agent and (c) a Benchmark Transition Event or an Early Opt-in Election, as applicable, has previously occurred resulting in a Benchmark Replacement in accordance with Section 2.14 that is not Term SOFR.
Special Termination Notice means the Notice of Special Termination substantially in the form of Annex VII to this Agreement.
Termination Warning Notice means a notice sent by the Secretary of State to the Academy Trust, stating his intention to terminate this Agreement.
Payment Initiation Service Provider or “PISP” means an authorised third party provider which provides a service that allows that third party to pass payment instructions to us on your behalf in relation to your Account.
Company Termination Event means any of the following:
Benchmark Transition Event means the occurrence of one or more of the following events with respect to the then-current Benchmark:
Additional Termination Event has the meaning specified in Section 5(b).
Event Outside Our Control means any act or event beyond WRAS’s reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks [or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;
Toll Billing Exception Service (TBE means a service that allows End Users to restrict third number billing or collect calls to their lines.
Acceleration Notice shall have the meaning specified in Section 6.2.
Potential Termination Event means an event which, with the giving of notice and/or the lapse of time, would constitute a Termination Event.
Consultation Termination Event shall have the meaning assigned to such term or an analogous term in the Servicing Agreement.
Benchmark Modification or Cessation Event means, in respect of the Benchmark any of the following has occurred or will occur:
Access Service Request (ASR means the industry standard form used by the Parties to add, establish, change or disconnect trunks for the purposes of Interconnection.
Commitment Termination Event means (a) the occurrence of any Event of Default described in clauses (a) through (d) of Section 8.1.9, or (b) the occurrence and continuance of any other Event of Default and either (i) the declaration of the Loans to be due and payable pursuant to Section 8.3, or (ii) in the absence of such declaration, the giving of notice to the Borrower by the Administrative Agent, acting at the direction of the Required Lenders, that the Commitments have been terminated.
Forbearance Termination Event has the meaning set forth in Section 3(a) hereto.
Preliminary Default Notice shall have the meaning ascribed thereto in Article 13 of this Agreement;
Notice of Termination for Good Reason shall have the meaning set forth in Section 1(t).
Delivery Period Termination Date Has the meaning specified in the Related Pass Through Trust Supplement.
Secured Party Designation Notice means a notice from any Lender or an Affiliate of a Lender substantially in the form of Exhibit H.
Default Notice means the written notice of Default of the Agreement issued by one Party to the other.
Notice-triggering Personal Information means the personal information identified in Civil Code section 1798.29 whose unauthorized access may trigger notification requirements under Civil Code section 1798.29. For purposes of this provision, identity shall include, but not be limited to, name, address, email address, identifying number, symbol, or other identifying particular assigned to the individual, such as a finger or voice print, a photograph or a biometric identifier. Notice-triggering Personal Information includes PI in electronic, paper or any other medium.
