R&D Sponsor definition

R&D Sponsor means any Governmental Entity, private source, university, college, other educational institution, military, multi-national, bi-national or international organization or research center that has provided grants to the Company or any developer, inventor or other contributor to any Company-Owned Intellectual Property.

R&D Sponsor means any Governmental Entity or any university, college or other educational institution or research center.

R&D Sponsor shall have the meaning set forth in Section 2.14(h).

Examples of R&D Sponsor in a sentence

• At no time during the conception of or reduction to practice of any of the Company-Owned IP Rights was the Company or any developer, inventor or other contributor to such Company-Owned IP Rights (i) operating under any grants from any R&D Sponsor or (ii) performing (directly or indirectly) research sponsored by any R&D Sponsor.

• At no time during the conception of or reduction to practice of any of the Company-Owned Intellectual Property was the Company or, to the knowledge of the Company, any developer, inventor or other contributor to such Company-Owned Intellectual Property (i) operating under any grants from any R&D Sponsor or (ii) performing (directly or indirectly) research sponsored by any R&D Sponsor.

• No R&D Sponsor has any claim of right to, ownership of or other Lien on any Company’s Intellectual Property owned by or exclusively licensed to the Company.

• No R&D Sponsor has any claim of right to, ownership of or other encumbrance on any Company IP Right.

• At no time during the conception of or reduction to practice of any of the Company-Owned Intellectual Property was any Acquired Company or any developer, inventor or other contributor to such Company-Owned Intellectual Property (i) operating under any grants from any R&D Sponsor or (ii) performing (directly or indirectly) research sponsored by any R&D Sponsor.
