Significant Distributor definition

Significant Distributor means any distributor that, on any of the Selling Entities' behalf, has distributed to other distributors, wholesalers, retailers or end users, the Selling Entities' products with a value in excess of $250,000 during either of years ended December 31, 1996 or 1995; and (z) "Significant Employee" means the Chief Executive Officer, the Chief Operating Officer, the President, any Vice President, the Treasurer, any sales representative or sales manager or any other executive officer of any of the Selling Entities.
Significant Distributor has the meaning set forth in Section 4.14(c).
Significant Distributor means any of the top twenty (20) distributors or resellers of the Acquired Companies measured in terms of commissionable transactions generated for each of the fiscal years ended December 31, 2019 and December 31, 2020 and the six (6) month period ended June 30, 2021.

  • No Significant Distributor has terminated, materially reduced or threatened in writing to terminate or materially reduce its acquisition or distribution of products or services of the Company, or otherwise materially and adversely revised the terms upon which it acquires or distributes products or service of the Company (or proposed in writing any such material, adverse revision).

Related to Significant Distributor

  • Independent Distributor means a person, business, or firm that is neither authorized nor franchised by an Original Component Manufacturer (“OCM”) to sell or distribute the OCM’s products but which purports to sell, broker, and/or distribute such OCM products.
