Under the terms of the Trust Agreement, if GEO Maquinaria exercises its option to make an offer to purchase the Trust Estate as provided in such Trust Agreement and as described in the section entitled "Summary of Terms—The Offering—Reacquisition and Prepayment" above, the Reacquisition Price will be applied by the Issuer as provided in paragraph (b) above, and will also pay to the Indenture Trustee, for the benefit of the Noteholders the applicable Prepayment Premium and any Additional Amounts thereon.
