Recipient Group definition

Recipient Group shall have the meaning ascribed to such term in Subsection 6.4(i).

Examples of Recipient Group in a sentence

• Recipient shall use the same degree of care to prevent and restrain the unauthorized use or disclosure of the Provider Confidential Information by any member of the Recipient Group or its Representatives as it uses for its own confidential information of a like nature, but in no event less than a reasonable standard of care.

• Subject to Section 6.01, Provider hereby agrees to indemnify, defend and hold harmless each member of the Recipient Group and its Representatives (each a “Recipient Indemnified Party”), from and against any and all Losses arising from, relating to or in connection with the sale, delivery, provision or use of any Services provided under or contemplated by this Agreement to the extent that such Losses arise out of, relate to or are a consequence of Provider’s recklessness or willful misconduct.

• With the exception of any Recipient Group Company which is entitled to receive Services hereunder and any person expressly indemnified hereunder by a party to this Agreement, this Agreement is for the sole benefit of the parties to this Agreement and nothing in this Agreement, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit or remedy of any nature whatsoever under or by reason of this Agreement.

• If any disclosures are made by members of the Provider Group to members of the Recipient Group in connection with the provision of Services under this Agreement, then the Provider Confidential Information (as defined below) so disclosed shall be used by the Recipient Group only as required to receive the Services.

More Definitions of Recipient Group

Recipient Group means (i) with respect to the Company, Company Group, and (ii) with respect to SpinCo, SpinCo Group and its Subsidiaries.

Recipient Group means, as the context requires, the Mxxxxx Oil Group, in the case of Services to be received by the Mxxxxx Oil Group, or the Mxxxxx USA Group, in the case of Services to be received by the Mxxxxx USA Group.

Recipient Group means, as the context requires, the Discover Group or the Xxxxxx Xxxxxxx Group.

Recipient Group means the Recipient and its Affiliates;

Recipient Group means the (i) Recipient; and (ii) the Affiliates of (i); and (iii) directors, officers, employees, agents, servants, representatives, insurers, contractors and subcontractors of (i)-(ii).

Recipient Group means the Recipient, each of the Recipient’s holding companies and subsidiaries and each subsidiary of each of the Recipient’s holding companies (as each such term is defined in the Companies Act 2006).

Recipient Group means the Cal Dive Group or the Helix Group, as Recipient hereunder.
