Recipient Group definition

Recipient Group shall have the meaning ascribed to such term in Subsection 6.4(i).

• Recipient shall use the same degree of care to prevent and restrain the unauthorized use or disclosure of the Provider Confidential Information by any member of the Recipient Group or its Representatives as it uses for its own confidential information of a like nature, but in no event less than a reasonable standard of care.

• Subject to Section 6.01, Provider hereby agrees to indemnify, defend and hold harmless each member of the Recipient Group and its Representatives (each a “Recipient Indemnified Party”), from and against any and all Losses arising from, relating to or in connection with the sale, delivery, provision or use of any Services provided under or contemplated by this Agreement to the extent that such Losses arise out of, relate to or are a consequence of Provider’s recklessness or willful misconduct.

• If, absent the entry of a protective order or other appropriate remedy, the applicable member of a Recipient Group is legally required to disclose the Evaluation Material, such applicable member may disclose such information only to the persons and to the extent required without liability under this Agreement.

• The Provider shall further notify the Recipient Group Companies in advance of the Commencement Date of any information or requirements affecting the Recipient Group Companies under any legislation concerning health and safety at work.

More Definitions of Recipient Group

Recipient Group means (a) with respect to the Company, the Company Group, and (b) with respect to SpinCo, the SpinCo Group.

Recipient Group means, as the context requires, the Xxxxxx Oil Group, in the case of Services to be received by the Xxxxxx Oil Group, or the Xxxxxx USA Group, in the case of Services to be received by the Xxxxxx USA Group.

Recipient Group means the Recipient and its Affiliates;

Recipient Group means, as the context requires, the Masco Group, in the case of Services to be received by the Masco Group, or the TopBuild Group, in the case of Services to be received by the TopBuild Group.
